The team:Ironclad is searching for an experienced commercial counsel to lead our world-class commercial legal team.
We are seeking a collaborative and results-driven commercial legal leader to lead key company initiatives and negotiate Ironclad's most complex enterprise B2B transactions. This individual will be a strategic partner to the business, driving aggressive growth and operational excellence by leveraging our legal technology. The ideal candidate excels at mentoring and growing their team, and will play an important role in maintaining and shaping the culture, objectives, and execution strategy of the Ironclad Legal Team and company. Requirements & Responsibilities
- Strategic Deal Leadership: Partner with Sales, Partnership, and Procurement teams to lead and close the company's most complex, high-value enterprise B2B transactions. You will help negotiate agreements with our biggest customers and our strategic partners.
- AI & Privacy Subject Matter Expertise: Serve as an authority on AI related contracting terms, including data protection, privacy and security.
- Operational Excellence & Automation: Act as "Customer Zero." You will partner closely with our Head of Legal Operations to design and implement scalable commercial processes by automating legal workflows within Ironclad, setting the gold standard for how a modern legal team operates, including with respect to our own usage of AI. You will develop policies to create clear expectations with our business partners and lead playbook and template development to standardize our contracting.
- GTM Strategic Partner: Partner directly with Sales and Finance leadership on forecasting and legal capacity planning. You will ensure the commercial legal engine is built to support aggressive growth and that Sales teams are expertly trained on our contracting "rules of engagement."
- Brand Evangelism: Represent Ironclad as a thought leader and "Legal Tech Evangelist" at industry conferences and events, demonstrating how our own product and processes drive business velocity.
- Team Development: Lead, mentor, and build a world-class commercial legal team, fostering a culture of high performance, pragmatism, and professional growth.
Key Skills & Attributes
- Credentials: JD from an accredited law school and active bar membership, with 12+ years of legal experience (ideally a mix of top-tier firm and high-growth SaaS in-house) managing sophisticated commercial transactions. Prior management experience required.
- Executive Presence & Influence: A master negotiator with high EQ and low ego, capable of commanding a room and influencing both internal executives and external C-suite stakeholders.
- Strategic Tradeoff Architect: Proven ability to balance rigorous legal protection with the commercial need for speed, making informed decisions on when to lean in and when to mitigate.
- AI & Data Fluency: Deep intellectual curiosity regarding AI, data protection, and privacy, with the ability to translate complex technical concepts into clear, actionable contract language.
- Systems Thinker: You don't just solve one contract; you solve the process. You have a proven ability to lead and project manage cross-functional, strategic initiatives. You look for ways to use technology to eliminate friction and empower the business to move faster.
- Evangelist Mindset: You are passionate about the future of legal work and comfortable being the "face of Ironclad" to our customers and the broader legal community.

Base Salary Range: $230,000.00 - $300,000.00
