A Facility Management Company is currently seeking to hire an Assistant General Counsel, Commercial Law (In House) based in our Dunwoody Office in Atlanta, Georgia. The AGC will be a trusted legal advisor and a member of the leadership team for A Facility Management Company's Education and Business and Industry - Central business lines and Procurement corporate functional group. The position will provide advice and counsel on commercial (non-employment/labor) legal matters including advice on: commercial contracts (draft, review and negotiate) strategic transactions, pre-litigation, ADR, and litigation dispute resolution (including disputes with customer, suppliers, and subcontractors, bankruptcies, and collections matters). Additionally, the position will support M&A and compliance for the business group, including providing advice and counsel on corporate policies and procedures, and help coordinate employment and labor legal matters within A Facility Management Company legal department.

Essential Functions:
  • Excellent interpersonal, communication, presentation, drafting and negotiation skills
  • Ability to manage competing priorities, simultaneously drive numerous projects, identify, and resolve business issues
  • Provide advice and guidance on litigation strategy and direction of legal suits
  • Assist in the management of the organization's litigation, work with the appropriate business units to resolve claims, contract disputes and litigation, providing legal advice as necessary
  • Provide counsel on legal and business matters to leadership, senior management, and key business decision makers
  • Excellent business judgment and high comfort level advising senior leaders on legal issues related to technology and/or software platforms.
  • Provides comprehensive general legal services including contract review, drafting/preparing legal documents, and legal advice. Reviews legal aspects of administrative policies
  • Advise leadership on legal obligations, terms and status, legal risks, and business terms of various transactions. Advise the business on best practices regarding corporate governance
  • Negotiate and draft complex contracts, including vendor agreements, licensing agreements, master services agreements, purchase orders, services contracts, construction contracts, and manufacturing contracts, etc.
  • Exceptional business judgment and analytical skills

Required Qualifications:
  • Minimum six (6) to ten (10) years of relevant legal experience handling and/or managing commercial law matters as an attorney which can be either in-house, in a law firm, or in the government. Some prior experience in an in-house role is preferred.
  • Extensive experience conducting independent legal analysis of laws and legal risks, and the ability to make reasoned and comprehensive decisions/recommendations while considering the operational realities, priorities, and the needs of the business
  • Significant experience drafting, reviewing, and negotiating contracts
  • Extensive experience proactively identifying and assessing legal risks and opportunities related to commercial law compliance and providing practical business?oriented recommendations to internal clients on options to mitigate the risk
  • Excellent critical thinking, analytical, communication, interpersonal and negotiation skills – strong communicator with employees of all levels from frontline to executives
  • Strong problem?solving skills with the ability to work independently or in a team to develop practical solutions to accomplish business objectives in a complex industry
  • Strong organizational skills with a demonstrated ability to handle, prioritize, and follow through on a considerable volume of work
  • Must be a team player and collaborator with the ability to establish and maintain effective relationships with internal clients and colleagues
  • JD degree from an ABA accredited law school and be admitted to a state bar
  • Bar admission in state of employment

Additional Requirements:
  • Ability to work regularly in two office locations within the Atlanta metropolitan area (Dunwoody and Alpharetta)
  • Expected to work in-person in an A Facility Management Company office a minimum of 3 days per week
  • Travel occasionally on an as-needed basis
