Nodal Exchange seeks a talented and dynamic attorney for the following role based in Tyson's Corner, VA (DC Metro area), with hybrid/remote work available:

Job Title: Assistant or Associate General Counsel, Nodal Exchange and Nodal Clear. The position reports to the Nodal Exchange/Nodal Clear General Counsel.

Key Responsibilities:
Responsibilities:
  • Provide legal and regulatory advice and counsel for Nodal's exchange (registered designated contract market) and clearing house (derivatives clearing organization) pursuant to the Commodity Exchange Act and the CFTC Regulations.
  • Work with other attorneys in General Counsel's office and engage with business to address any regulatory or commercial business needs in a legally compliant manner.
  • Stay on top of changing regulations, relevant industry trends, and work with business, finance, technology, and legal stakeholders to develop and implement best practices.
  • Assist or lead the preparation, review, editing, or negotiating of business contracts, including third-party service provider, NDAs, and licensing agreements, to mitigate risk in accordance with company policies and regulatory responsibilities.
  • Structure and draft agreements, amendments, addenda, and other documents to comply with new and existing regulatory responsibilities and commercial contracts.
  • Draft, review, and maintain all company policies and procedures as needed.
  • Develop a thorough understanding of the legal needs, policies, and procedures of the business, and any applicable legal or policy issues of EEX Group/Deutsche Börse Group.

Skills, Knowledge and Expertise
Preferred Professional Qualifications and Skills
  • Juris Doctorate from an ABA-accredited law school.
  • Admitted to the Virginia Bar in good standing or otherwise admitted in another state with ability to become authorized to practice law as in-house counsel in Virginia
  • Excellent organizational skills with the ability to handle multiple matters at once and complete them in an organized and timely manner.
  • Well-developed written and verbal communication skills.
  • Proven ability to address complex legal problems and business needs without compromising work quality.
  • Attention to detail and a strong sense of ownership and accountability.
  • Diligent team player with a good sense of humor - or at least the ability to politely recognize the attempts at humor by your colleagues.

Assistant General Counsel
 – a minimum of 6 to 10 years relevant experience as a practicing attorney as either an associate or counsel at a law firm, or with a government agency, or in-house legal department in a financial related business.
  • Ability to work with little supervision and cooperatively in a team environment.
  • Working knowledge of one or more specialty areas including contracts, licensing, intellectual property, technology, employment, privacy, and security
  • Working knowledge of applicable legal/regulatory requirements related to the financial industry (i.e. CFTC, SEC, FDIC, FED, OCC, or CFPB) is a plus.

Associate General Counsel
 – a minimum of 10 to 15 years relevant experience as a practicing attorney as either an associate, counsel, or partner at a law firm, or with a government agency, or in-house legal department in a financial related business.
  • Ability to work independently and cooperatively in a team environment.
  • Detailed knowledge of one or more specialty areas including contracts, licensing, intellectual property, technology, employment, privacy, and security
  • Detailed knowledge of applicable legal/regulatory requirements related to the financial industry (i.e. CFTC, SEC, FDIC, FED, OCC, or CFPB) is a plus.
  • Teach/Mentor junior colleagues in all applicable legal skills and responsibilities.

Salary Range
: $170,000 - $275,000 yearly salary (dependent on position), plus annual bonus

Pay Transparency Notice: The salary range is based on the D.C. metro area, the successful candidate's starting salary will vary depending on permissible, non-discriminatory factors including but not limited to qualifications, skills, and experience. This range represents the company's good faith estimate of the range of possible compensation at the time of posting for both position categories. Position title is at the sole discretion of the hiring manager. Annual bonus opportunities are non-guaranteed and are dependent upon individual and company performance.
