The Assistant Counsel at A Privately Owned American Multi-Level Marketing Company is responsible for assisting in the coordination and handling of legal matters across the corporation. This role will work closely with the Chief Legal Officer and collaborate with internal teams and external counsel as necessary. The Assistant Counsel will provide legal advice, research, and support on various legal issues and contribute to the development and implementation of legal strategies. The successful candidate must possess a strong sense of legal and business ethics, professional responsibility, and discretion. The Assistant Counsel plays a vital role in supporting the legal needs of the company and ensuring compliance with applicable laws and regulations.

Essential Duties and Responsibilities:
  • Assist in coordinating, researching, advising, and drafting commercial contracts, employment contracts and policies, vendor agreements, and other necessary legal documents.
  • Collaborate with external legal counsel on matters such as intellectual property rights protection, employment and labor laws, regulatory compliance, litigation, and other legal issues.
  • Provide legal support and guidance on corporate governance matters, including board meetings, shareholder relations, and regulatory filings.
  • Conduct legal research, analyze complex legal issues, and provide recommendations to internal stakeholders.
  • Prepare for and participate in legal proceedings, mediation, and arbitration, working closely with external counsel when required.
  • Assist in the development and implementation of corporate compliance programs, ensuring adherence to legal and regulatory requirements.
  • Review and negotiate agreements, contracts, and legal documents with a focus on risk mitigation and compliance.
  • Collaborate with cross-functional teams to provide legal support and ensure legal compliance in various business initiatives and projects.
  • Stay updated on changes in laws and regulations that may impact the company's operations and provide proactive advice and guidance.
  • Other duties as requested by business need.

Qualifications Required for Position:
  • L.L.M. or J.D. degree from an accredited law school.
  • Admission to the Oklahoma Bar in good standing.
  • Minimum of 5 years of legal experience, with a focus on corporate law and commercial transactions.
  • Experience working in a law firm or corporate legal department, preferably in a similar role.
  • Strong knowledge of legal principles and regulations applicable to the industry.
  • Ability to work independently and collaboratively, managing multiple priorities and deadlines.
  • Excellent written and verbal communication skills, including the ability to convey complex legal concepts to non-legal stakeholders.
  • Strong analytical and problem-solving skills.
  • Detail-oriented with exceptional organizational skills.
  • Consistent and regular attendance is expected.

Qualifications Desired for Position:
  • Experience in working with external legal counsel and managing legal engagements.
  • Familiarity with intellectual property rights protection, employment and labor laws, regulatory compliance, and other relevant legal areas.
  • Demonstrated ability to provide practical and strategic legal advice to support business objectives.
  • Strong negotiation and contract drafting skills.
  • Experience in corporate governance and regulatory compliance.
  • Ability to navigate complex legal issues and provide sound legal solutions.

Certificates/licenses Required for Role:
Possession of the following:
  • Possession of a valid license to practice law in the State of Oklahoma. Admission to practice in California a plus.
  • Possession of a valid state driver license.
  • An original legal writing sample must be provided.
  • Other assessments may also be required.
