The Americas Legal Counsel plays a key role in driving business success by delivering timely, practical legal advice across the region. Based in Plymouth, USA, and reporting to the Deputy General Counsel, Corporate and the Americas, and Assistant Corporate Secretary, this role partners closely with business and functional teams to enable strategic initiatives, manage legal risk, and support day-to-day operations in a dynamic, fast-paced environment.

Responsibilities include:
  • Draft, review, and negotiate a range of commercial contracts, including customer sale agreements, supply agreements, distribution agreements, non-disclosure agreements, leases, and various other commercial contracts.
  • Support business partners with contract interpretation, risk mitigation, and contract compliance, and collaborate with business partners to align contract terms with operational and business goals.
  • Analyze and advise on a variety of legal and regulatory issues relating to commercial and contract law, including intellectual property, licensing, corporate compliance, foreign investment, real estate, labor and employment, product liability, and others.
  • Play a key role in commercial and contract management, including through the implementation and management of efficient contract governance processes and the development and implementation of contract procedures and templates to improve operational efficiency.
  • Serve as a key resource on complex and critical commercial issues facing the business.
  • Ensure compliance with applicable laws and regulations and internal company policies within areas of responsibility.
  • Conduct training on a wide variety of legal topics, including contracting excellence, competition law compliance, protection of intellectual property, USFCPA and other anti-bribery and anti-corruption laws, and workplace issues
  • Assist on other legal matters, as needed, including:
  • Support matters of strategic importance, such as the establishment of strategic alliances, joint ventures, licensing, protecting of intellectual property, and establishment of new sites.
  • Assist in managing litigation and dispute resolution, working with internal stakeholders and external counsel, as needed.
  • Assist with labor and employment matters, subsidiary governance, and government relations matters, as needed.

Basic Qualifications:
  • JD or equivalent with active bar membership in good standing.
  • Minimum 3-5 years of experience in law firm or in-house setting.
  • Experience in commercial contract review, drafting, negotiation, interpretation, compliance, and lifecycle management.
  • Strong knowledge of commercial and contract law, with an emphasis on practical, business-oriented legal advice.
  • Experience in dispute resolution, labor and employment, real estate, intellectual property, aftermarket, compliance, and governance a plus.

Additional Desired Qualifications:
  • Multinational business experience a plus; ability to work across countries and cultures; tolerance for some off-hours demands to account for time-zone differences; some travel expected, including internationally in the Americas region.
  • Interest and ability to teach and train business partners in legal issues affecting the business.
  • Ability to provide business partners with advice that blends legal risk management with an understanding of, and appreciation for, a client's business objectives.
  • Proactive approach in recognizing needs, anticipating issues, and developing solutions.
  • Unquestionable integrity and good judgement.
  • Excellent communication and analytical skills necessary to effectively interact with and influence internal and external stakeholders.
  • Ability to manage priorities independently and take ownership over workstreams.
