Description:

Arnold & Porter is seeking entry-level associates (JD, 2026 – 2027) to join our Corporate & Finance practice. This position offers the opportunity to work on complex domestic and cross-border transactions while developing a strong foundation in corporate law.

Our global M&A team advises strategic and financial buyers and sellers with operations and interests across North America, Europe, Latin America, and Asia. We guide clients through all phases of the M&A process, from structuring and negotiating transactions to securing regulatory approvals and facilitating post-closing integration. Our attorneys collaborate across finance, capital markets, tax, intellectual property, antitrust, environmental, FDA, privacy, and other practices to develop practical solutions that advance our clients' business objectives.

Working closely with partners and experienced associates, the associates will:
  • Assist with mergers, acquisitions, divestitures, and other corporate transactions.
  • Conduct legal due diligence, review contracts and corporate records, and summarize findings for deal teams.
  • Prepare initial drafts of transaction documents, disclosure schedules, corporate approvals, and ancillary agreements under supervision.
  • Conduct legal research on corporate law, governance, and transaction-related issues.
  • Coordinate with colleagues across practices and offices and assist with signing, closing, and post-closing matters.

Our deal teams are structured within the Corporate & Finance practice group to allow associates to assume more responsibility and receive a high level of partner and client contact. Our collegial and collaborative group is comprised of team players who are supportive, flexible, and invested in helping associates craft a tailored career path.

Candidates should have a strong academic record, excellent writing and analytical skills, attention to detail, and a demonstrated interest in M&A and corporate law. We seek candidates who communicate effectively, exercise sound judgment, and work collaboratively in a client-focused environment. Prior transactional coursework, clinics, or internships are helpful; prior law firm associate experience is not required. Applicants must currently be licensed, or currently eligible to become licensed, to practice law in the jurisdiction(s) where they apply.

The salary for this position is $225,000.
