Description:
  • Advising for issuers and underwriters on debt issuances across public and private markets in the U.S., Europe.
  • Advising private equity funds, real estate investment funds, and private credit funds in a broad range of fund finance facilities, including subscription-secured credit facilities, NAV-based credit facilities, hybrid facilities, and co-investment facilities.
  • Advising sponsors and corporate borrowers on cash flow, recurring revenue, and asset-based debt financings including cross-border debt financings spanning the U.S., and Europe.
  • Advising private equity funds and alternative capital sources, including mezzanine funds, and private debt funds on the structuring and documentation of private credit transactions.
  • Advising on debt at different levels of the capital structure including senior loans and unitranche facilities through to mezzanine and second lien debt.
  • Advising clients on topical issues that arise in debt finance transactions including liability management issues and other related topical issues.

Minimum Requirements:
  • Must have a JD degree from an ABA-approved law school or foreign equivalent.
  • Must be licensed to practice law and a member in good standing in the state of New York.
  • Must be licensed to practice law and a member in good standing, with the Solicitors Regulation Authority of England and Wales.
  • Must have 7 years of experience as an Associate at a law firm, advising clients on cross-border debt financing.
  • Must have experience performing the following:
    • Drafting LMA and LSTA based credit documents.
    • Advising on debt finance transactions involving multilateral development banks.
    • Representing sponsors, corporate borrowers, and lenders in domestic and cross-border debt financings including term and revolving loan facilities, cashflow, asset-based and recurring revenue-based lines of credit and leverage acquisitions.
    • Representing private equity and private credit funds on fund finance transactions including subscriptions credit facilities, NAV credit facilities and fund finance related hybrid facilities.
    • Representing underwriters and issuers on domestic and cross-border debt securities offerings spanning the U.S. and Europe.
    • Advising clients generally on debt finance related matters.

Salary range: $215,530 – $420,000
