Description:
Job Summary:The General Counsel will be responsible for the management and coordination of all legal matters of the Company. The General Counsel will provide advice and counsel to senior management, the Board of Directors and Company personnel on the Company's legal and regulatory matters. The position will provide leadership to the Company's legal function; provide legal oversight and guidance of complex business transactions; participate in drafting, reviewing, and negotiating critical agreements; provide oversight for regulatory compliance; manage outside counsel; provide oversight of corporate governance requirements; and perform corporate secretarial duties.

- Oversee the legal review of all contracts and agreements issued or received by the Company and define and implement appropriate document retention policies.
- Be the primary interface with and manage outside counsel, including maximizing cost efficiency of outside counsel.
- Provide continuing counsel and guidance on all legal and regulatory matters.
- Serve as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures.
- Oversee the litigation of court cases filed against or on behalf of the company and work with the appropriate executive(s) and outside counsel to devise and implement an appropriate litigation strategy.
- Assume ultimate responsibility for ensuring that the company conducts its business in compliance with applicable laws and regulations (including, but not limited to SEC, FCC and NASDAQ compliance).
- Structure and manage the company's internal legal function and staff.
- Be responsible for all corporate secretarial and corporate governance matters of the Company, including working with the Board of Directors and its Committees.
Qualification Requirements:
- Public Company legal experience is required.
- Successful track record leading an in-house legal department.
- Telecommunications experience strongly preferred.
- Experience in corporate law, M&A, contracts, and securities law a plus.
- Experience working on corporate governance matters and with a board of directors.
- Ability to successfully manage multiple simultaneous projects.
- Member of the state bar with at least 10+ years of in-house legal leadership experience.
- Excellent organizational, analytical and problem-solving skills.
- Strong leadership, interpersonal, and negotiating skills.
- Strong sense of urgency, proactivity, and ability to prioritize competing priorities.
