The Vice President, Commercial, Regulatory & and Deputy Corporate Secretary will work closely with the General Counsel and will oversee several key facets of our Company's legal function in the US. The right candidate will be responsible for managing a variety of legal issues both internally and externally, to a wide variety of stakeholders, including commercial contracting, anti-kickback, regulatory, and corporate governance. Will work closely with executive leadership, all members of the legal team, senior executives in the finance, commercial, research and manufacturing functions, as well as business development.
Primary Responsibilities:
- Lead team responsible for providing regulatory legal support for pharmaceuticals, biologics, and medical devices to the US and global marketing, research, manufacturing, and the safety, health and environment organization.
- Responsible for leading a team providing legal advice to the US market for anti-kickback issues, pricing and customer and third-party contracts, including discount and rebate agreements, product sales agreements, clinical trial agreements, manufacturing agreements, and services agreements.
- Lead the team responsible for corporate governance, subsidiary management, grant of authority (GOA), proxy, annual meeting, and the Company’s Board of Director activities.
- Manage the successful delivery of services by outside counsel and the outside legal counsel mix and budgets to align with organizational goals and financial objectives.
- Provide and coordinate delivery of legal support for legal issues and act as a trusted advisor and partner to senior management teams.
Education Minimum Requirements:
Minimum J.D. degree and NJ/PA state bar member in good standing or the ability to obtain a limited in-house license in NJ/PA.
Required Experience and Skills:
- Minimum of 12 + years' experience of combined law firm, or in-house legal department experience with increasing or suitable responsibility.
- Experience in counseling across the business, including research, marketing and sales, and manufacturing regulatory counseling as well as on commercial contracting and antikickback issues.
- Deep understanding of US and global laws, including fraud and abuse laws antitrust laws, and pharmaceutical/biologics/device regulatory laws and regulations.
- Demonstrated ability to provide support and guidance to evaluate and structure a wide variety of commercial programs, including product launch strategies, product pricing strategies, product supply and acquisition of cGMP products/components.
- Highly skilled in providing expert counsel across pharmaceuticals, biologics and medical devices areas.
- Expertise in independently drafting, reviewing and negotiating complex contracts.
- Experience in corporate governance, subsidiary management, and Board of Director engagement preferred.
- Ability to incorporate business strategies to provide timely, practical and compliant solutions while managing legal risks and demonstrating superior legal judgment.
- Demonstrated experience managing concurrent legal projects and budgeting with global reach.
- Strong interpersonal, communication, and writing skills.
- Ability to work effectively with all internal organizations, including finance, business development, sales and marketing and human resources.
- Ability to travel, as necessary, that could include extended business trips (anticipated 10%-15%).
- Must thrive in a fast-paced, complex, dynamic, multi-cultural environment where multi-tasking and prioritizing are required.
- Demonstrated integrity while working with a wide range of sensitive and confidential issues.
