River Bend Administration is seeking a skilled, highly motivated, and experienced individual to join the team as Trust & Estate Counsel.

About the Position
River Bend’s T&E Counsel will be a significant in-house legal advisor for a private family trust company serving the trusts & estates needs of a single, multi-generational family. In this role, the individual will be responsible for advising on a broad range of matters for the company and its clients, including estate & tax planning, trust & estate administration, and general corporate legal matters including records, policy administration, and regulatory compliance.

The ideal candidate will have deep subject matter expertise and be able to work collaboratively to deliver timely and accurate legal advice and world-class service. The successful candidate will have the opportunity to serve as a trusted advisor to family clients, the River Bend team, and affiliated entities’ staffs.

What you will do
Trust Administration: Provide comprehensive advice and support for individual and family trust company fiduciaries, including by:
  • Counseling trustees and ensuring that all trustee actions comply with, and are properly authorized and documented according to governing documents, company policies and procedures, and applicable laws
  • Managing trust acceptance, annual review, and termination in compliance with company policies and applicable laws (including Know-Your-Customer and Bank Secrecy Act/Anti-Money Laundering policies), and ensuring compliance with all notification and reporting requirements to qualified beneficiaries
  • Managing or overseeing the creation, termination, decanting, amendment, or other restructuring of trusts, ensuring the interests of fiduciaries are protected in connection with such transactions
  • Advising and drafting materials for trustees, board of directors and committees regarding trusts and other entities served by the company, and draft, or review and approve, consents, resolutions, and/or minutes for board of directors and trust committees
  • Analyzing and providing sound advice regarding legal and tax issues related to trust administration, including principal & income issues, with advice of approved external counsel
  • Reviewing and approving annual fiduciary accountings and periodic disclosures for trusts and other entities
  • Drafting form legal documents appropriate for trust administration and documentation purposes

Estate Planning: Effectively anticipate and respond to the trust & estate planning needs and requests of family clients and delivering world-class advisory service, including by:
  • Preparing and updating estate planning presentations, including summaries and projections, in collaboration with family client advisory teams
  • Communicating recommendations and advice to family members as part of a collaborative family client advisory team
  • Effectively implementing or overseeing/coordinating implementation of decisions made by family clients, including coordinating and overseeing the work of approved external attorneys, accountants, and other professional service providers as requested
  • As requested and appropriate, drafting or overseeing the preparation, or review drafts, of various T&E practice and transactional documents including, but not limited to, correspondence, wills, trusts, powers of attorney, health care proxies, living wills, consents, agreements, assignments, trustee succession instruments, notices, promissory notes, and other miscellaneous documents
  • Monitoring developments in the areas of trust & estate planning and taxation, proactively identifying emerging issues and opportunities, and providing information, advice, and counsel to family client advisory teams to assist family clients with estate planning decisions
  • As requested, and if appropriate, draft or oversee the preparation, or review drafts, of Form 706, United States Estate (and Generation-Skipping Transfer) Tax Return and/or Form 709, United States Gift (and Generation-Skipping Transfer) Tax Return

Corporate Records, Compliance & General Legal: Support the legal operational needs of the company, including by:
  • As requested, and with support from approved external counsel if needed, handling general legal matters for the company including labor & employment, landlord-tenant, asset purchases, routine contracts, corporate and trust company compliance (including multi-jurisdictional and international issues), risk, and other general legal matters arising from time to time
  • Overseeing the creation and administration of legal and material document records / storage systems in both electronic and paper form to ensure maintenance of complete, accurate, and accessible books and records as required by law or company policies and, if requested, acting as corporate secretary
  • Developing and administering company policies and procedures, including trust company regulatory compliance
  • Ensuring proper execution of legal decisions through internal collaboration with River Bend associates and external business partners
  • Ensuring all legal and other activities are conducted in compliance with applicable laws including mandatory periodic family trust company filings and maintenance of corporate registration and business permits
  • Assisting the President and COO in preparing for board and committee meetings for the company, including preparation of meeting or briefing materials and drafting of consents, resolutions, and/or minutes for board and trust committees
  • Staying current on Florida Trust Code, Florida Family Trust Company Act, and all other applicable laws to ensure compliant company operations and to fulfill regulatory requirements.

Who we are looking for
Qualifications required for your success
  • JD from a reputable law school
  • Florida bar admission (including as Authorized House Counsel, if available) or willingness to secure admission
  • 5+ years of experience representing or working with ultra-high net worth individuals or families and their family offices (with private trust company familiarity a plus)
  • Excellent communication skills, presence, poise, and ability to inspire confidence, deliver advice, and develop relationships with family members, executives, and colleagues and act as counsel in legal matters
  • Collaborative and trustworthy, and able to keep highly sensitive information confidential
  • Able to independently structure and manage workflow and priorities
