A Law Firm Handling Corporate and Technology Matters, a leading global AmLaw 100 firm, is seeking a Transactional Associate to join our dynamic Technology Transactions Team. This team is an experienced cross-disciplinary group dedicated to supporting our clients' needs across a wide range of technology projects and commercial transactions. We are looking for candidates who are passionate about technology and the law, and who are eager to work in a fast-paced environment alongside some of the most respected attorneys in the field.This position can be based in any of our offices, with preference for Del Mar, Newport Beach, Silicon Valley, or San Francisco.
Members of A Law Firm Handling Corporate and Technology Matters Technology Transactions Team are experts in the key issues that are shaping many industries, including but not limited to software, technology services, artificial intelligence, digital media, hardware and connected devices. We help our clients find legal solutions to a broad range of technology projects and commercial transactions, including licensing, manufacturing and supply agreements, data center projects, service level and support arrangements, cloud computing agreements, development and distribution arrangements, technology transfer, outsourcing and managed services. This position offers significant client contact and responsibility, as well as an opportunity to grow professionally with a team of experts in a collaborative environment.
The ideal candidates will have the following qualifications:
- 3-6 years of significant hands-on experience drafting and negotiating complex technology agreements, including master services agreements, business process outsourcing arrangements, manufacturing, supply and distribution agreements, research, collaboration and development agreements, software licenses, cloud-based services, service level agreements, and support service agreements, and other commercial agreements and technology transfer arrangements.
- Candidates will have focused their practice in technology transactions at either a law firm with a national reputation or as a member of an in-house legal team.
- A deep understanding of intellectual property and the ability to advise clients on the intellectual property aspects of commercial contracts.
- The ability to work with other team members and clients, take ownership of projects, and deliver excellent solutions in a fast-paced environment, is essential.
- Top academics and outstanding drafting skills are required.
