A Cincinnati Law Firm is seeking a senior associate to partner-level attorney to work in its tax and transactional practice groups, focused on tax needs for its clients consisting primarily of privately held businesses and tax-exempt organizations. For the right candidate, A Cincinnati Law Firm will consider an immediate transition of a qualified senior associate to partner. A book-of-business is not required.

This position will work with other attorneys within the corporate practice group to represent clients in a variety of tax and transactional matters, including mergers & acquisitions, private equity transactions, and day-to-day tax needs of A Cincinnati Law Firm corporate clients. Job Duties:
  • Advise clients regarding business succession planning.
  • Investigate and provide guidance for tax incentives available to investors and property owners.
  • Advise and guide clients (independently or in conjunction with the M&A team) regarding private equity transactions, corporate governance, and M&A.
  • Create tax plans and counsel on preparations involved in tax matters.
  • Keep up to date on changes within tax laws and regulations.
  • Offer counsel to clients regularly to keep them aware of tax problems which may arise in the future.
  • Draft and review contracts and agreements in connection with business or entity sales, mergers, or acquisitions and related due diligence.
  • Other duties as needed within the transactional practice group.

Qualifications:
  • Book of business is not required.
  • Drafting, writing, and analytical skills.
  • Strong attention to detail, a high level of organizational skills.
  • Demonstrated verbal and interpersonal skills.
  • Ability to manage multiple projects independently.
  • Execute project related research and analysis based on federal and state tax laws.
  • Undertake tax basis calculations and other related tax studies.
  • Demonstrated ability to counsel the client on the consequences of new and updated federal and state tax laws that affect the client's business.
  • Juris Doctorate degree, and substantial financial/accounting experience. CPA, LLM and/or Masters in Tax is preferred.
  • 5-10 years' experience practicing as a tax attorney in a law firm. Compensation will be commensurate with experience.
