Description:
The staff attorney / legal analyst will play an integral role within the Alternatives / Private Equity Group of A Private, Independent, Employee-Owned Investment Management Firm Legal and Compliance Department. The ideal candidate will possess excellent organizational skills and strong written and oral communication skills, and be able to interface with a variety of internal and external counsel in Dallas, New York and London, and various colleagues and business groups across the firm. The ideal candidate is a professional who is able to work at a high level and in a fast-paced, demanding environment. This job will require strong writing and reading skills and the ability to think critically and issue spot.Responsibilities:
Provide legal support, including:
- Reviewing, negotiating and revising confidentiality and non-disclosure agreements and coordinating with relevant business leads, internal lawyers (as necessary) and external counter-parts to agree such contracts in a timely and efficient manner
- Reviewing, negotiating and revising engagement letters and other similar commercial and service provider contracts with input from business leads and support from internal lawyers (as necessary)
- Tracking various legal processes (e.g. non-disclosure agreements, jurisdictional registrations, commercial contracts, etc.)
- Serving as a knowledge resource for group best practices in fundraising and deal execution.
- Supporting internal fundraising teams on global fund registration applications and requirements
- Organizing and maintaining books and records pertaining to multiple advisory entities and funds, as well as transaction closing sets
- Assisting in preparation of legal documentation for various transactions
- Completing and reviewing formation documentation and structure charts
- Supporting the internal Compliance group with tracking attendance and over-sight on certain discussions with external parties
Qualifications:
- At least 1 year of work experience as a lawyer
- Bachelor's degree
- JD Required
- Strong writing and analytical skills
- Proficiency in Microsoft Office software (e.g. Word, Excel, PowerPoint, and Outlook)
- Ability to perform in fast paced environment
- Excellent organizational skills; detail oriented
- Strong time management skills; ability to prioritize multiple tasks efficiently
- Resourceful and able to handle multiple and changing priorities
- Ability to communicate effectively with senior management
- Must be teamwork oriented and also be able to work independently with minimal guidance
