The
core responsibilities of this role will include corporate governance
and securities law compliance. However, if you want to be pigeonholed as

just met your match!Our legal team works broadly
across a range of matters and the successful candidate will have a
strong interest in working on new areas of the law while focusing on
their core responsibilities which are to:
- Act as a subject matter expert on securities laws, corporate governance best practices and regulations applicable to publicly traded companies.
- Own the management of our international entities and related intercompany agreements.
- Draft and review a wide range of commercial contracts providing sound guidance to our cross-functional business teams to ensure compliance and reduce risk while collaboratively looking for business solutions.
- Prepare and review SEC filings, such as Forms 10-K, 10-Q, 8-K, proxy statements, and registration statements.
- Assist with Section 16 reporting, including Forms 3, 4, and 5.
- Help to run and, over time, optimize our insider trading program.
- Assist internal audit and other teams with activities to maintain SOX compliance.
- Assist with preparing materials for board and committee meetings, including calendars, minutes, resolutions, and presentations.
- Review earnings-related materials, such as shareholder letters, scripts, presentations, and other corporate communications.
- Provide legal support for executive compensation matters, equity plans, and equity administration, as well as advising on our insider trading policy and trading plans.
- Offer legal support for capital markets transactions, including financings, credit facilities, stock repurchases, and debt offerings.
- Offer legal support for mergers and acquisitions and other strategic transactions.
- Support the enhancement and maintenance of corporate policies, processes, and training programs with scalable frameworks.
- Assist on a broad range of cross-functional and legal projects assigned by the General Counsel.
Required Skills and Qualifications:
Required:- Juris Doctor (JD) degree from an accredited law school.
- Admission to a state bar, preferably California, or eligibility for Registered In-House Counsel in California.
- 4-10 years of experience in corporate law emphasizing securities, corporate governance, and compliance.
- Experience in advising public companies on mergers and acquisitions, federal securities laws, corporate activism, Nasdaq rules and corporate governance practices.
- Familiarity with public company accounting, tax and finance processes, terminology, systems, and issues, including a basic knowledge of financial statements and GAAP accounting.
- Ability to work independently in fast-paced environments while managing multiple priorities.
- Excellent business judgment with a capacity to make decisions and provide advice.
- Willingness to roll up sleeves and collaborate cross-functionally.
- Curiosity and enthusiasm for learning about pharmaceuticals, medical devices, and medical aesthetics.
Not Required but Highly Valued:
- Experience operating effectively in diverse environments and bring a nuanced understanding of cultural differences to international legal matters.
- Experience using Workiva for drafting and filing securities filings.
- Experience with Nasdaq Boardvanatage as a board portal.
- Experience working with life science companies, especially those with a large international presence.
