As a Senior Legal Counsel for Global Banking, you will support various investment banking businesses in New York. Business coverage will focus primarily on Structured Finance (such as 144A securitizations, on balance sheet securitizations, capital call facilities and middle market loan facilities) and Project or Asset Finance (such as wind and solar financing projects), but could easily include Debt Capital Markets (including private placements and liability management), Equity Capital Markets and M&A Advisory. You will be responsible for managing legal risks by providing timely, clear and practical legal and strategic advice to the most critical businesses for HSBC.

Here's what you can expect day-to-day

As our Senior Legal Counsel, you will advise on the legal risk of existing and new business and product approval activities. This will likely include drafting, reviewing and negotiating relevant contracts and related transaction documentation (underwriting documentation, receivables purchase agreements, credit agreements, confidentiality agreements, engagement letters and commitment letters). You will identify new legal, regulatory and market developments that can affect business activities, and you'll educate our banking teams on how these developments may affect their business. This will include frequent and ongoing interaction with our front office and other critical teams (such as regulatory, compliance, operations, treasury and tax).

Requirements:
Employment eligibility to work with HSBC in the U.S. is required as the company will not pursue visa sponsorship for these positions.
  • You'll be an active member of the New York state bar and in good standing
  • You'll have sufficient legal experience (including time spent with a major law firm and/or in-house counsel with a financial institution) and since this role supports a critical business for the US, significant experience in structured or project finance transactions, will be required
  • You'll have excellent negotiation and drafting skills and will have demonstrated the ability to take initiative and apply good commercial and legal judgment
  • You're a collaborative teammate, but also a self-starter who is able to work independently with an entrepreneurial drive
  • You will be able to work independently and have good problem solving skills
