Description:

The Sr Counsel will support the execution of acquisitions, divestitures, joint ventures and early-stage investments as well as financings and other Treasury matters. This will require working on multiple transactions at the same time, participating from start to finish, and partnering with Corporate Development to formulate the strategy for the initial bid process, due diligence requirements, all aspects of transaction documents as well as advising senior management about important legal considerations of a deal. In addition to Corporate Development, there will be significant engagement with our businesses, and their Business Development and Strategy leads as well as lawyers for our business segments and various other functions, including HR, Finance, Accounting Tax, Treasury, Ethics & Compliance, EHS and Sustainability.

Key Responsibilities include:
  • Overseeing legal matters through all stages of the transaction process
  • Briefing senior management regarding legal matters relating to transactions
  • Handling multiple transactions simultaneously
  • Anticipating and/or protecting against legal risks that might affect Xylem
  • Staying current with M&A contract market trends and regulatory developments
  • Actively coordinating legal aspects of acquisitions and dispositions, including instructing outside counsel and ensuring coverage of regulatory matters and other relevant areas
  • Drafting, reviewing, and/or negotiating confidentiality agreements, non-binding bids, asset or stock purchase agreements, merger agreements, joint venture agreements, and ancillary agreements
  • Preparing regulatory filings
  • Reviewing internal reports and presentation materials to advise management of legal considerations affecting the company's objectives and activities with respect to mergers and acquisitions
  • Conducting research on legal matters relating to mergers and acquisitions and advising senior management concerning the results of such research
  • Performing other work and projects as assigned

Minimum professional and educational background desired:
  • JD with a minimum of five years' experience with a top law firm
  • M&A and corporate experience, including global cross-border transactions
  • Member of the bar of at least one state
