  • Capital Markets and Financing Transactions - Lead support of complex capital markets and financing transactions; manage the deal process from planning to closing, draft and negotiate operative documents, oversee statutory and contractual obligations, and advise business on legal issues and risks, company policies and strategy.
  • Bitcoin-Related Initiatives - Lead support of strategic Bitcoin initiatives such as treasury reserve management and matters related to Bitcoin development, education, and advocacy.
  • General Corporate and Governance - Assist with corporate governance matters, including board and committee meeting materials, minutes, and resolutions; advise on board matters, develop corporate governance policies, and implement legal controls to help ensure sound corporate governance practices; advise on employee equity matters; manage domestic subsidiary governance function.
  • Securities Law and Regulatory Compliance - Advise on compliance with federal and state securities laws, including reporting and disclosure requirements; contribute to and collaborate with other A Company that Provides Business Intelligence, Mobile Software, and Cloud-Based Services departments in preparation and review of SEC filings, including proxy statements, Forms 10-K, 10-Q, and 8-K, as well as Section 16 filings; advise on investor relations and external communications matters, including reviewing press releases, earnings announcements and scripts, investor presentations and communications, and other key marketing materials; monitor and interpret regulatory developments affecting the company's operations.
  • Commercial Matters - Draft, review, and negotiate commercial contracts, including vendor and non-disclosure agreements.
  • Finance & Tax - Work closely with internal stakeholders, including Finance, Treasury, & Tax on banking and investment matters, corporate aircraft matters, employee equity matters; intercompany agreements, tax planning, internal controls, and enterprise risk management.
  • External Counsel Management - Manage external legal counsel effectively and within budget.
  • Training and Development - Provide training to employees on legal and compliance matters; stay current on legal trends and developments relevant to the company's business; contribute to the development and implementation of best practices in legal and compliance functions.
  • This position requires the employee to work four days a week in the Tysons Corner, VA office.

Qualifications:
  • J.D. from a U.S. accredited law school
  • Must be licensed to practice law in at least one U.S. jurisdiction
  • 8-10+ years of experience with reputable law firm(s) and/or in-house department(s)
  • Extensive experience with capital markets/financing transactions and other corporate transactional matters
  • Experience with corporate governance matters and publicly traded companies generally, including the Securities Act of 1933, the Securities Exchange Act of 1934, and the Sarbanes-Oxley Act
  • Ability to manage fast-paced workload and add value to multiple projects simultaneously
  • Self-starter who shows project ownership and enjoys working across departments
  • Superior communication and interpersonal skills and judgment
