An American Auto Insurance Company is seeking a highly skilled, motivated and detail-oriented individual to serve as Senior Counsel, Corporate Law in the Legal Operations, Commercial & Corporate Law Division of its Legal Department. The Senior Counsel, Corporate will report to the Associate General Counsel & Corporate Secretary and be part of a team providing broad corporate law support to An American Auto Insurance Company's Finance organization and overseeing the corporate governance of An American Auto Insurance Company's entities. This is an exciting opportunity to be part of a fast-growing legal team and to work on strategically important matters. The Senior Counsel, Corporate will provide legal advice on a wide variety of matters, including treasury, sanctions, compliance, corporate governance, and regulatory reporting. An ideal candidate will have excellent communication and interpersonal skills, strong judgment, strong research and writing skills, excellent prioritization skills, and an eagerness to be involved in a dynamic company. The ideal candidate must have the ability to work well in a fast-paced team environment.Primary Responsibilities:
- Provide corporate law legal advice to cross-functional stakeholders and senior leaders
- Prepare and review relevant company policies and procedures
- Advise on various compliance initiatives
- Assist with corporate governance of An American Auto Insurance Company and its subsidiaries
- Oversee compliance with applicable laws and regulations and conduct legal research and analysis
- Communicate with state and local regulatory bodies
- Manage outside counsel
Required Qualifications:
- Juris Doctor (JD) degree from an accredited law school
- Admission to practice law in at least one U.S. jurisdiction
- 7-10 years of corporate law experience at a law firm, government, and/or in-house
- Strong analytical, problem-solving, and decision-making skills
- Understanding of the key legal issues germane to an organization
- Excellent written and verbal communication skills, with the ability to explain complex legal concepts to non-lawyers
- Demonstrated ability to manage multiple priorities and projects
- Experience working with cross-functional teams, both legal and non-legal
- Experience managing outside counsel
Preferred Qualifications:
- Experience with insurance industry
- Experience with sanctions, compliance, treasury, licensing and/or regulatory matters
- Experience in subsidiary entity governance
Location - Hybrid: This is a hybrid role that will require 3 days working onsite at An American Auto Insurance Company's office in NYC or Chevy Chase, MD
