About the role:
An American Publicly Traded Company is seeking a Senior Counsel, Business and Legal Affairs (Corporate) to join its Corporate Legal team. You will work closely with An American Publicly Traded Company's Legal and cross-functional teams advising on a range of transactional, corporate governance, and commercial matters. A successful candidate must have a broad corporate and transactional experience and ideally experience representing US public companies in mergers, acquisitions and other strategic transactions at a leading law firm. The role requires an entrepreneurial mindset and the ability to work independently and as a member of a close-knit corporate legal team.

For California Only and New York - The estimated annual salary for this position is between $230,0000 - $260,000 annually. Compensation packages are based on factors unique to each candidate, including but not limited to skill set, certifications, and specific geographical location. This role is eligible for health insurance, equity awards, life insurance, disability benefits, parental leave, wellness benefits, and paid time off.

What You'll Be Doing:
  • Providing legal support for transactional matters, including M&A, joint ventures, investments, commercial agreements, leases and other facilities-related transactions
  • Providing legal support for general corporate matters, including operations, communications and public relations, investor relations, compliance, insurance and risk management
  • Negotiating and finalizing a range of contracts, including forms and non-standard contract provisions
  • Liaising with and providing legal support for internal business partners and teams, including corporate development, accounting, finance, corporate communications and public relations, treasury, tax, human resources, investor relations, and facilities
  • Managing relationships with key external lawyers and service providers

We're excited if you have
  • JD degree with excellent academic credentials and bar membership
  • At least 5 years of sophisticated M&A/general corporate practice at a leading law firm
  • Ability to build and maintain effective relationships and work collaboratively with internal stakeholders across functions and teams to support dynamic business objectives
  • Ability to thrive in a fast-paced environment, utilizing effective organizational skills to prioritize and manage deadlines for multiple simultaneous projects
  • High ethical standards and integrity and sound judgment
  • Ability to concisely and effectively communicate complex matters in oral and written form
  • Willingness to assume increasing responsibility and roll up sleeves (no job too big, no job too small)
  • A Bachelor's degree and a Juris Doctorate degree from a U.S. accredited law school
  • A license to practice law in the state of California or New York (as appropriate)
