About the role:
You have deep corporate and commercial experience, excel at reviewing and revising a wide variety of commercial agreements. You have experience building systems to improve contracting and other legal processes. You have expertise in data privacy and cyber security and know how to practically apply that expertise. You are a solutions-oriented and positive attorney who thrives on small teams. You have excellent judgment and can run with projects with minimal supervision while knowing when to escalate an issue. You work efficiently while caring deeply about the quality of your work product. You think strategically how to prioritize proactive projects while ensuring reactive projects receive appropriate attention and are handled thoughtfully and completed on time. You take the initiative to improve and streamline systems and processes, and know how to effectively use technology to make these systems and processes better.

Responsibilities:
  • Collaborate closely with Sales organization (spanning multiple time zones) to help negotiate and close deals and respond to prospect and customer inquiries
  • Develop written and live training exercises for the Sales organization to ensure adherence to best practices, and familiarity with recurring issues and questions typically raised during customer sales calls
  • Expand and maintain library of agreement templates, including facility-facing access agreements and addenda, professional-facing independent contractor agreements, MSAs/SOWs, consulting agreements, and NDAs
  • Assist PeopleOps team with the administration of equity compensation (prior experience with Carta is a plus) and cap table management
  • Provide practical advice on transactional data privacy and cybersecurity matters, including support related compliance initiatives, including with respect to HIPAA/HITECH, TCPA, CCPA/CPRA, and other state privacy laws
  • Perform corporate day-to-day governance functions, including assisting with the creation and maintenance of corporate entities, preparing of Board minutes and resolutions, and responding to audit requests
  • Provide product counseling and risk assessments for the development of new verticals and product offerings, as well as marketing initiatives and user-facing articles
  • Ensure that all of A Hospitals & Health Care Law Firm's corporate entities remain in good standing in each jurisdiction they are qualified to do business in

What success looks like 90 days in:
  • You have developed and delivered trainings for the Sales Organization, and achieved adherence to best practices with respect to contracting with new customers and responding to customer inquiries
  • You have identified at least one problem with our document management system and have taken the initiative to correct it
  • You have created and own a system for ensuring the business's compliance with evolving rules and regulations, including with respect to licensing and data privacy/security
  • You are supporting the legal function and advising the business in other areas as needed, including with respect to the development and execution of new and existing products, initiatives, and lines of business

Need to have:
  • JD from an ABA accredited law school and admission to at least one state bar
  • 7+ years of relevant experience at a reputable law firm and/or in-house legal department in the U.S.
  • Experience handling matters involving data privacy or cybersecurity
  • Experience building and improving legal processes such as contract management, including through the effective use of software platforms and technology
  • Experience providing legal support for a variety of corporate and commercial transactions through all stages of the transaction lifecycle, including but not limited to M&A and securities offerings.
  • Bias toward action and solving (not just spotting) problems
  • Ability to take ownership of your work and manage projects independently
  • Comfort and skill navigating complexity and ambiguity, and working on a leanly staffed team
  • Ability to work autonomously and under pressure and meet tight deadlines
  • Agility and flexibility to take on new tasks and responsibilities when necessary to support the business and legal team's needs in a fast-moving, rapidly- scaling, and dynamic tech company
