What we are looking for:
Senior Corporate Counsel

Qualifications:
  • Member of the California Bar in good standing.
  • Strong academic credentials preferred.
  • 8+ years prior experience as a real estate or corporate lawyer, specializing in the development and financing of airports or other infrastructure projects and/or in private equity markets, drafting and negotiating a broad spectrum of complex contracts and agreements and leases. Preferred substantive expertise in public (government) owned real estate/infrastructure investments, project development, construction, leasing, M&A, and joint venture transactions.
  • Airport/Infrastructure experience a plus
  • Excellent reading, oral/written communication skills, negotiation skills and concise grammatical skills.
  • Strong work ethic with a positive, can-do attitude.
  • Strong initiative and ability to manage multiple projects as well as strong follow through skills.
  • Ability to work well with others in a fast paced, team-oriented and dynamic environment.
  • Ability to complete projects timely and accurately.
  • Must be detail oriented with strong organizational and analytical skills.
  • Ability to influence, interact and communicate diplomatically with corporate senior executives, staff and external stakeholders.

Job Responsibilities:
  • Provide overall legal and strategic support for all activities conducted by the Company's airport business, including government and tenant relationships, contracts, joint venture agreements, financing agreements, leases and all other areas of the Company's airport business. Professionalism, real estate and general corporate legal knowledge, excellent verbal and written communication skills are prerequisites.
  • Primary responsibilities shall include, without limitation:
  • Proactive strategic partnership with the business team to provide sound advice, support and guidance to the Airport leasing, development, business development and operations teams on all aspects of airport concession management, including but not limited to, joint venture agreements, structuring procurement of new business, legal related disputes and issues, client/tenant legal issues, tenant leases, contract insurance, tenant defaults, consulting agreements and other miscellaneous legal matters. This involves reviewing, analyzing and interpreting legal documents, and advising on legal strategy and course of action to achieve the most favorable results for the Company.
  • Drafting and negotiating a wide array of contracts related to the operation and leasing of Airport concessions including leases, subleases, amendments, assignments, temporary license agreements, termination agreements, development agreements, management agreements, consulting agreements, vendor contracts, contractor service agreements, letters of intent and other letter agreements, NDAs and other real estate legal documents, and ensuring appropriate internal approvals through execution of sealing sheets (as required).
  • Advising the Airport marketing team in connection with various vendor contracts and events, including drafting and negotiating documents such as advertising agreements, consulting agreements, marketing service agreements, and promotional agreements, and ensuring appropriate internal approvals through execution of sealing sheets (as required).
  • Advising local management staff on tenant operational/lease issues, landlord/tenant matters, collection activities, master contract requirements with the Company's clients (i.e. the airport authorities).
  • Ensuring that appropriate corporate and airport authority approvals for transactions
  • Provide interpretation of clients' master contracts.
  • Drafting legal notices, such as default notices and liquidated damages assessments.
  • Responsible for all Airport lease documentation to ensure accuracy, quality of documentation and timely completion of executed documentation.
  • Managing and developing lease documentation staff dedicated to the airport business.
  • Assisting in the preparation and negotiation of legal contracts to include requests for qualifications and requests for proposals. Assist in preparation of management agreements, airport concession project agreements.
  • Providing general legal services on miscellaneous matters that may arise from time to time for the Airports team.
  • Maintaining corporate compliance procedures and records and ensuring that appropriate corporate approvals for transactions and various contracts are received.
  • Participating in the development and interpretation of company operating policies to the extent relevant for the Airports team.
  • Coordinate and oversee outside counsel to the extent necessary for the Airports business.

Annual Salary Range
$185,000 - $230,000 + Discretionary bonus
