McGuireWoods LLP is seeking a Securities & Capital Markets Associate to join its Richmond, Virginia office. The successful candidate will play a key role on the firm's Securities and Capital Markets team, supporting a dynamic borrower-side debt finance practice. This is an excellent opportunity for an associate to work closely with experienced partners whose practices span commercial lending, loan workouts, fund finance, out-of-court restructurings, and business law across a broad range of industries.

About the Practice:
The associate in this role will support partners whose practices encompass the full spectrum of debt financing, including secured and unsecured revolving, bridge, and term loan facilities, acquisition financings, recapitalizations, going-private transactions, and fund finance. The team advises borrowers, lenders, private equity sponsors, and a broad range of funds and their sponsors, with a focus on borrower-side debt finance. The practice serves clients in diverse industries, including financial services, energy, real estate, healthcare, consumer goods, technology, manufacturing, food and beverage, chemicals, consumer packaging, and leisure.

Key Responsibilities:
  • Represent borrowers and sponsors in a wide variety of leveraged finance transactions.
  • Draft, review, and negotiate commitment papers, credit agreements, security documents, intercreditor agreements, and related financing documentation.
  • Manage and coordinate due diligence, deal execution, and closing processes across multiple workstreams.
  • Advise clients on capital structure considerations, market terms, and transaction strategy.
  • Assist with debt covenant analysis, compliance, waivers, amendments, consents, and forbearance agreements.
  • Collaborate with colleagues across transactional practices to deliver comprehensive client solutions.

Job Requirements:
Required:
  • J.D. or equivalent from a nationally recognized law school, with demonstrated high academic achievement.
  • 1 to 5 years of experience representing corporate borrowers, private equity sponsors, and/or lenders in debt financing transactions.
  • Ability to manage multiple diverse projects simultaneously with strong attention to detail.
  • Candidates should possess strong interpersonal skills and the ability to interact with client, business, and legal teams.
  • Willingness and desire to work with innovative technology platforms. Our attorneys leverage Harvey AI to accelerate research, streamline document drafting, and enhance analytical work, allowing associates to focus on higher-value strategic thinking and client engagement.
  • Virginia State Bar is required.

Preferred:
  • Working knowledge of secured lending transactions.
  • Experience in closing financing transactions and familiarity with drafting loan documents and other commercial contracts.
  • Knowledge of Article 9 of the Uniform Commercial Code.
  • Exposure to acquisition financing matters, including commitment papers.
  • Familiarity with M&A transactions and general corporate law.
  • Candidates with experience representing corporate clients in other commercial transactions, including M&A transactions, will also be considered.
