Who we are looking for:We are seeking an attorney with broad experience to serve as Real Estate Attorney within the SCDC Legal Department. You must have at least 3+ years as a generalist practicing attorney with proven experience in some of the following legal disciplines: Real Estate Law / Transactions, Corporate Structure / Formation, Compliance / Risk Mitigation, Tax, IP – Patent – Trademarks, HR / Employment, or litigation, including ADR.
Job Responsibilities Based on Your Experience:
Corporate Structure and Formation
- Develop the legal strategies to implement the corporate structure from operational, logistical, accounting, and tax perspectives for a large nationwide conglomerate of vertically integrated subsidiaries.
- Provide legal advice on structuring of corporate acquisitions.
- Formulating organizational and governance operating agreements and other Company documentation for corporations, LLCs, Series LLCs, and PMAs (including but not limited to HOAs, etc.) that can be adapted to the multiple jurisdictions in which the Company will conduct our business.
Real Estate and Transactions
- Provide legal advice on land acquisition, permitting, zoning, and other legal issues in connection with the real estate development of mixed-use multifamily luxury apartment communities on a nationwide scale. This work would also include advice, analysis, and recommendations relating to environmental site assessments, title commitments, ALTA surveys, land use, and zoning issues.
- Negotiate (where appropriate) and draft retail and commercial lease agreements, letters of intent, purchase agreements, subordination, and non-disturbance agreements for retail and business tenants.
- Handle legal matters involving landlord-tenant issues for our property management company.
Tax:
- Provide legal advice to ensure compliance with all Federal, state, and local tax laws.
- Supervise strategic planning to create optimal tax and accounting strategies for our vertically integrated subsidiaries.
- You may also provide tax advice on the tax implications of corporate acquisitions and other business transactions.
HR & Employment
- You may work in coordination with the Chief Human Resources Officer to advise the Company on a range of workplace policies, employer, and employee rights necessary or required to ensure compliance with all applicable Federal, state, and local laws relating to human resources, employment, and environmental, health and safety matters.
- You may consult with external counsels on the handling of discrimination, harassment, wage and hour, or other employment-related administrative and litigation matters. ADR
- Develop strategies to avoid or mitigate litigation and to resolve claims or disputes.
- Draft ADR clauses to govern the resolution of future disputes, evaluate the merits and vulnerabilities of existing claims and litigation matters, determine appropriate ADR strategies, and coordinate with external counsel on the handling of ADR matters.
Compliance and Risk Management
- Create a Company-wide legal compliance program that incorporates the Company's Values, Mission, and Code of Business Conduct that will uphold our corporate standards and culture and will always meet or exceed all requirements under applicable Federal, state and local law.
- Prepare proactive, prescriptive, and remedial risk assessment, detection, mitigation, and other risk management strategies that will be incorporated into a rigorous risk management system across numerous disciplines covering policies, protocols, processes, procedures, and training for Company personnel across all disciplines.
Litigation:
- Provide advice, conduct legal research, develop case strategies, and manage complex litigation from the initial claim stage through final resolution.
- Represent the Company in various litigation matters, including court hearings, settlement negotiations, post-trial, and other proceedings. Your work will include directly handling (or supervising the work of outside counsel) preparing and responding to discovery, taking depositions, conducting investigations, and drafting pleadings, motions, and trial and appellate briefs.
Qualifications:
- Juris Doctor (J.D.) degree.
- Admission to the Texas Bar in good standing (or the ability to become admitted to the Texas Bar within a year if licensed in another state).
- Minimum of 5+ years of experience as a practicing attorney.
- Strong analytical and problem-solving skills, excellent communication skills, and a proven record of accomplishment in delivering high-quality work in relevant and verifiable legal work.
Additional Details:
- This position is in Downtown Houston, Texas 77002.
- The salary range is between $130,000 and $182,000.
