What You'll Get To Do:
This position will serve as the dedicated and senior legal business partner to A Leading Technology Partner Company System Solutions Company of North America (PCONA), Division of A Leading Technology Partner Company Corporation of North America, and will provide legal support on all business-to-business transactional matters. Matters include negotiating and drafting documentation relating to transactions for hardware, software, and cloud services solutions and related services offered for sale by PCONA business groups; monitoring compliance with applicable laws relating to product and solutions development and go-to-market plans, including international expansion; and facilitating the provision of other legal services to PCONA. This position will have three direct reports. This position will also support the Chief Counsel, Transactions, in continuing to optimize the quality and efficiency of the Transactions Team's Work, including managing projects related to KPIs, templates library, resolving customer sustainability related requests, technology and process improvements, and other identified needs.
- Prepare and negotiate commercial agreements related to PCONA's domestic and global business, including with its Operating Company(ies) and factories, and coordinate consensus among shared services and A Leading Technology Partner Company affiliates as applicable in each transaction.
- Advise, counsel, and influence business clients to minimize risk and foster compliance with laws and corporate policies.
- Spot legal issues and provide guidance relating to product compliance, commercialization of new technology solutions, and business growth in the U.S. and abroad.
- Spot legal issues and counsel business clients on all other legal and transactional related matters.
- Support projects to optimize and maintain best-in-class standards amongst the Transactions Team.
- Manage Senior Counsel, Transactions; Contracts Manager
Education and Experience:
- Law degree from accredited law school required. Admission to a state bar.
- At least 10 years' combined relevant transactions experience at a law firm and in-house at a global company.
- Preferred practice area experience: commercial contracts and transactions or product counsel experience required; antitrust transactional experience a plus.
- Experience preparing, reviewing, and negotiating customer-facing agreements and procurement agreements, including but not limited to purchase, sales, distribution, reseller, supply, professional services and related statements of work, SaaS, and confidentiality agreements
- Experience drafting and negotiating technology and software license and subscription agreements
- Experience advising a business that provides connected devices, AI and cloud server networked equipment, or similar solutions and related services

- Ability to build consensus among internal stakeholders, such as project managers, finance, tax, risk management and IT teams and Operating Company and applicable factories.
- Ability to properly escalate and ensure alignment with Legal Leadership Team and other stakeholders
- Ability to work independently, set priorities, be self-motivated, meet deadlines, and resolve complex problems with a thorough understanding of the business and legal environments.
- Demonstrated ability to implement legal strategies to meet business goals.

- Excellent verbal and written communication skills, particularly the ability to draft agreements and correspondence in clear, precise language
- Advise, counsel and influence senior management and executive teams
- Ability to adapt communication on legal and business issues for different audiences
- Collaborate with overseas affiliates, particularly in the drafting and negotiation of certain agreements.
- Proficient in MS Office software including MS Word, Teams, Excel, and PowerPoint.
Other Requirements:
