Description:
As Legal Counsel, you'll join the dynamic Legal & Compliance Team, working primarily from our office in Romeoville. Reporting to the Group Legal Counsel, you will serve as a key business partner to the A New Warehouse Automation Brand business units, leveraging your legal expertise to drive strategic initiatives and support operational goals. With a primary focus on commercial and contract law, your role will be diverse, impactful, and integral to our success.Your tasks & responsibilities contain:
- Business Partnering: Act as a trusted legal advisor to internal stakeholders and departments, such as sales, procurement, finance, and operations by providing clear, actionable guidance to support strategic objectives.
- Commercial & Contract Law: Draft, review, negotiate, and manage a wide range of commercial agreements, including sales contracts, supplier agreements, development and manufacturing agreements, integrator agreements, assembly subcontractor agreements, NDAs, etc.
- Corporate Housekeeping & Compliance: Oversee domestic corporate governance, ensuring US legal entities meet compliance standards. Maintain federal, state, and local compliance such as registrations and reporting.
- Litigation Management: Handle disputes, claims and litigation effectively by formulating legal strategies and working with external counsel when necessary.
- Proactive Legal Support: Monitor legislative changes; provide insights on business impacts; and standardize legal documentation to mitigate risk. Cultivate a “legal reflex” across the organization by conducting training and creating tools (checklists, templates, etc.).
Qualifications:
- You have a Juris Doctor Licensed (or eligible for Admission on Motion) to practice law in Illinois.
- You have at least 5 years (preferably 8+ years) as a legal counsel, preferably in the logistics or warehousing industries. Must have experience in commercial and corporate law. Additional experience in employment, immigration and construction preferred.
- You have the ability to draft and review legal documents and communicate effectively with internal and external stakeholders.
- You have strong analytical abilities, clear communication of complex legal concepts to diverse, non-legal audiences, and a proactive approach to managing legal risks.
- You are independent, adaptable, and skilled at balancing multiple priorities in a fast-paced environment.
