Position Overview:An Investment Management Company is seeking to recruit an experienced, business-minded attorney to join its team as Counsel in the New York office. The Counsel will work on a broad range of legal matters under the supervision an Assistant General Counsel and the General Counsel, with a primary focus on the structuring and execution of the firm's investments.
Key Relationships:
- Reports To: Assistant General Counsel
- Other Key Relationships: General Counsel, Portfolio Managers and Analysts, Tax Department, Controllers
Major Responsibilities:
- Acting as legal advisor on a broad array of complex investment-related transactions, including private credit, private equity, convertible bonds, structured credit, distressed and special situations credit, and/or venture capital. The Counsel will be responsible for preparing and negotiating, among other transaction documents:
- purchase and sale agreements and ancillary documents (e.g., transfer agreements)
- credit agreements
- security and guarantee agreements
- indentures
- subscription agreements
- investment management agreements
- side letters
- confidentiality and non-disclosure agreements
- third-party contracts.
- Preparing and reviewing agreements related to investments in external hedge funds and private equity funds.
- Ad-hoc specialized legal projects, as needed.
- Managing outside counsel and effectively intermediating between outside counsel and internal clients.
- Remaining abreast of industry practices and relevant legislative proposals and enactments.
- Generally, providing legal and investment transaction counsel and guidance to the An Investment Management Company business and investment teams.
Requirements:
- J.D.
- Active bar membership in good standing in at least one U.S. jurisdiction (New York preferred).
- Minimum of 3-5 years of relevant legal experience in structuring, drafting and negotiating transaction documents for investments in a variety of asset classes, including private credit, private equity convertible bonds, structured credit, distressed and special situations credit, and/or venture capital.
- Experience will have been gained at either a top-tier law firm and/or as an in-house attorney with a financial services institution or private investment firm.
- The successful candidate should ideally also have:
- excellent grounding in contracts law and securities law, and commensurately significant first-hand drafting and negotiation skills.
- outstanding intellectual ability, attention to detail and work ethic.
