The Legal Counsel will report to both the CFO and to the General Counsel and will be the first point of contact for all legal matters. Responsible for legal intake and triage and for providing legal support across a wide variety of subjects such as contracts, legal and regulatory compliance, risk management, employment law matters, IP registration, and corporate governance. The In-House Legal Counsel will have access to confidential information and must maintain a high level of discretion and professionalism at all times.

Responsibilities:
  • Draft, review, and negotiate various legal agreements, including contracts, NDAs, releases, and vendor agreements.
  • Conduct legal research and analysis to provide accurate and timely advice to internal stakeholders.
  • Assist in ensuring the company's compliance with relevant laws, regulations, and internal policies.
  • Identify and assess legal risks, and develop strategies to mitigate them.
  • Provide legal guidance on HR matters, including employment contracts, policies, and procedures.
  • Support the General Counsel in matters related to corporate governance, such as board meetings and shareholder communications.
  • Collaborate with cross-functional teams to provide legal insights and recommendations.
  • Manage external counsel on matters requiring their assistance and work with our parent company legal team as appropriate.
  • Stay up-to-date with changes in relevant laws and regulations, and provide updates to internal stakeholders as needed.
  • Ensure internal records and files are kept up to date and organized.
  • Undertake additional assigned duties as requested.

Qualifications:
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the state bar and maintain good standing.
  • 3+ years of legal experience in a corporate or in-house setting.
  • Strong experience in drafting, reviewing, and negotiating legal agreements.
  • Proven ability to conduct thorough legal research and analysis.
  • Excellent verbal and written communication skills.
  • Strong attention to detail and ability to manage multiple priorities in a fast-paced environment.
  • High level of professionalism, integrity, and discretion in handling confidential information.
  • Bilingual candidates who can speak, write and understand Spanish are encouraged to apply.

Preferred Qualifications:
  • Experience with UCC governed transactions.
  • Familiarity with ecommerce, auction law, HR and employment law.
  • Understanding of privacy and data protection regulations both domestically and internationally.
  • Business experience or experience outside of a law firm.
