About This Role:
We are seeking a Corporate Counsel to join our Legal & Compliance team. In this role, you will provide essential legal support on securities regulations, corporate governance, M&A and intellectual property matters. Prior experience in IP law is not required for this role but is a plus. What You'll Do:
Corporate:
- Assist in the preparation and review of securities filings, including annual and quarterly reports (10-K's and 10-Q's), proxy statements, and current reports (8-K's)
- Provide legal support on corporate governance matters, including board and committee meetings and corporate policies
- Ensure compliance with New York Stock Exchange (NYSE) listing standards and regulations.
- Support M&A activities, including due diligence, contract negotiation, and integration processes
- Provide legal assistance in internal restructuring initiatives
- Support the Investor Relations team on shareholder matters
- Support the Treasury team on financings and other treasury matters
- Collaborate with the Compensation & Benefits team on equity and executive compensation matters
- Support the development and implementation of compliance programs and policies
- Stay current on changes in securities laws and regulations and advise the legal team and business units accordingly
- Assist with a wide range of IP-related legal matters, including global IP enforcement, assistance with drafting of ‘cease and desist' letters, online take down notices, and communications with Internet Service Providers
- Advise internal stakeholders on copyright, fair use, trademarks and rights of publicity, provide IP-related pre-publication review of research, marketing and conference presentation materials
- Advise A Global Research and Advisory Firm's quote request team on permissible external use of A Global Research and Advisory Firm in SEC and similar filings
- Assist with management of large trademark portfolio, including working directly with outside counsel and internal business units, and maintenance of renewal schedules
- Gather, prepare, and file prosecution and use and renewal related documentation with the US Patent Office (USPTO) Trademarks Section, the World Intellectual Property Organization (WIPO) and other international IP registration bodies as necessary
What You'll Need:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to a U.S. state bar and eligibility for admission as in-house counsel.
- Minimum of [3] years of experience ideally gained in a law firm or in-house legal department.
- Strong understanding of federal securities laws, including the Securities Act of 1933 and the Securities Exchange Act of 1934. Familiarity with corporate governance best practices.
- Experience with M&A is a plus.
