Primary Purpose of The Position:
As Serrala's Legal Counsel based in North America, you will work closely with our Associate General Counsel in North America and our broader European Legal team in coordinating and providing legal guidance, support, and services to our technological and business teams. You will collaborate with the stakeholders to help develop policies, practices, and guidelines in compliance with state, federal, and international laws and regulations. The Legal Counsel helps the Legal team manage compliance programs, including business ethics, transactions, information security, data privacy, anti-corruption, and other compliance with laws.

Essential Duties and Responsibilities:
Core duties and responsibilities include (but are not limited to) the following
  • Review, draft, and negotiate software contracts for all areas of the business including vendor agreements, licensing agreements, technology agreements, publication agreements, sponsorship agreements, and non-disclosure agreements.
  • Investigate, research, and analyze all language and legal terms used in the preparation of contracts, claims, and lawsuits.
  • Provide guidance on legal and regulatory issues to comply with federal and state laws and regulations including employment law and internal business processes.
  • Assist in the development and review of policies and practices.
  • Continuously monitor deadlines related to negotiation of claims, litigation deadlines, and other relevant legal matters or projects.
  • Ensure the organizational goals and objectives are achieved in compliance with applicable rules and regulations.
  • Support legal initiatives internal to the company to increase efficiency of legal services and compliance by the company generally.
  • Study and analyze the policies and practices that may have an impact on the organization.
  • Perform legal research on your own or with help from outside counsel.
  • Represent Serrala's interests in transactions, contracts, and other business situations.
  • Stay current on relevant laws and regulations with special focus on fintech, data privacy, data security, and new emerging laws and trends.
  • Other duties as assigned.

Location: Chicago Office. This position is hybrid, with time spent both remotely and in Serrala's downtown Chicago office. The ideal candidate will live in the Chicagoland area or within a 2–3 hour drive of the Chicago area and be able to commute into the downtown Chicago office monthly or as needed. Requirements to be downtown are flexible and based on company and department needs.

Travel: Willingness and ability to travel is an essential function of all jobs at the company unless otherwise advised by your manager or Human Resources at the time of hire or promotion. Approximately up to 10% (not including time in the Chicago office).

Qualifications:
The requirements listed below are representative of the knowledge, skill, and/or ability required:
  • Juris Doctorate degree from an accredited law school and a minimum of 3 years of related experience in either a law firm or corporate environment.
  • Experience in drafting and negotiating a wide variety of contracts, including but not limited to IT/software contracts.
  • Licensed to practice law in the state in which you are employed with a thorough knowledge of state and federal law and regulations.
  • Some knowledge of international laws and practices with some compliance experience.
  • Experience in litigation including assessing risk, developing strategy, reviewing pleadings, and discovery.
  • Experience working with cross-cultural teams and leadership in a global organization.
  • Ability to work in a fast-paced, demanding, sales and deadline-driven environment and to respond appropriately to shifting priorities with a calm and professional demeanor.
  • Excellent oral and written communication skills -- must be able to communicate clearly and effectively with internal and external stakeholders on complex legal and commercial issues.
  • High EQ and soft skills needed to read people and situations and work well with all departments and roles in advocacy for our business.
