Role and Responsibilities:

Our team has an immediate opening for a Corporate & Commercial Legal Counsel professional to work in the office of our North American Headquarters, in Waltham, MA. This is a flexible hybrid work environment with a requirement to be onsite 3 days a week.

You will be a member of our Americas Legal Department in a dual role as a member of both the Corporate and M&A team and the Commercial team.

Corporate and M&A duties include:
  • For 3DS entities in the Americas, providing support in the areas of affiliate management, corporate (election of officers & directors, payment of dividends, intercompany agreements, etc.), regulatory issues (corporate transparency laws, filings, etc.), legal research on corporate law issues, etc.
  • Cross-functional support to colleagues in tax, treasury, finance and business in Waltham on corporate matters and to corporate and M&A legal colleagues and business development in France
  • Post-acquisition integration, such as mergers, dissolutions, etc.
  • Strategic minority investments and M&A corporate due diligence for proposed acquisitions in the Americas

Commercial duties include:
  • Primary responsibilities are drafting, reviewing and negotiating software license agreements, services agreements, vendor contracts, IP licenses and nondisclosure agreements with customers and partners, and ensuring that such contracts are executed in compliance with company policy and applicable laws and regulations
  • Partner closely with sales and services and finance teams to understand applicable processes and business practices and interact with management on enterprise level matters requiring coordination across organizational lines
  • Identify and report potential risk associated with customer facing contracts and products
  • Collaborate with members of the legal team to ensure conformity of contract terms globally

Qualifications:
  • Juris Doctor from an accredited US law school
  • Admission to Massachusetts or other state bar in the U.S.
  • 3-7 years of legal experience at either a law firm or in-house, or both
  • General corporate law experience, including corporate governance matters and M&A
  • Experience in drafting, reviewing and negotiating commercial contracts, particularly with large, domestic and international customers
  • High level of integrity without compromise with regards to ethical standards
  • Understand how to support business objectives while managing legal risk
  • Ability to work both independently/autonomously and within a collaborative team structure
  • Ability to manage and prioritize multiple important matters simultaneously, including by being flexible and adaptable, taking the initiative and being able to quickly adjust to evolving internal and external customer requirements and deadlines
  • Project management skills, including ability to manage autonomously, drive the process forward, analyze legal risks, make legal obligations actionable, involve cross-functional colleagues and manage critical deadlines
  • Highly organized with critical attention to details
  • Ability to build relationships with internal clients and Legal Department
  • Positive, energetic, self-motivated individual with high level of enthusiasm
  • Willingness to learn and incorporate coaching and instructions into daily tasks and assignments and openness and receptivity to other points of view
  • Strong functional use of Microsoft Office Excel, Word, PowerPoint
  • Strong communication skills in two parts: 1) very strong writing skills utilizing the rules of English grammar; 2) verbally clear, concise, and grammatically correct oral (speaking) communication skills in English
