About the role:
Pacvue is looking for a Commercial Counsel to support its growing operations and who is responsible for the legal leadership, development, and execution of the Company's commercialization efforts, including contracts, licensing, and partnership agreements. Reporting to our CFO, the Commercial Counsel will primarily work cross-functionally with key business stakeholders on customer and vendor-facing projects. The ideal candidate is an operationally oriented lawyer with experience optimizing contract templates and workflow process in a complex, high-growth environment, specifically in the technology space. This role instills a culture of strong compliance across the company and has a passion for how the commercial legal function can transform the strategy, accountability, and operations of the Company as a whole.

Responsibilities:
  • Partner with go-to-market stakeholders to prepare, review, and negotiate company contracts and other legal documents.
  • Negotiate a variety of commercial agreements, including vendor, affiliate, and partnership agreements.
  • Maintain and improve commercial contract templates and standard clauses in concert with the company's deal desk process.
  • Analyze, communicate, and propose mitigation strategies for potential risks in contractual, regulatory, compliance, financial, and legal areas.
  • Manage outside counsel related to other items, such as terms of use and data privacy policies.
  • Collaborate with internal stakeholders to execute company business objectives and drive legal, sales, finance, and IT initiatives, including implementing and maintaining a contract management solution.

Skills & Qualifications:
  • JD and active bar membership in at least one US state with 5+ years of law firm and/or in-house legal department experience with a considerable experience in drafting and negotiating SaaS agreements and other commercial matters in the technology space
  • Working knowledge of regulatory matters, including international data protection and corporate compliance
  • Demonstrated ability to quickly reduce complex principles into actionable counsel
  • Ability to act quickly and be decisive when needed, even with ambiguity
  • Dedication to the customer experience, excellent interpersonal, written/verbal communication and negotiation skills
  • Familiarity working in a global business
  • Proven ability to work collaboratively in a team setting, maintaining strong working relationships with multiple internal clients, and work effectively within a repot team.
  • Reasonable approach to assessing and balancing risk on behalf of the company
  • An ownership mindset of the relevant area(s) of subject matter expertise
  • Excellent organizational skills, ability to manage multiple priorities at once and follow through to meet deadlines
