In this role you will:
  • Lead complex initiatives with broad impact and act as a key participant in large scale planning specifically related to Wells Fargo's proprietary M&A transactions and strategic investments.
  • Provide leadership and support to Corporate Development, Enterprise Transition Services and various lines of business on proprietary acquisitions, divestitures and joint ventures as well as strategic investments in venture equity, industry consortium, Fintech, Regtech and similar investments.
  • Provides guidance to senior management on complex legal and regulatory matters impacting business strategy and policy or claims against the Company
  • Assess legal risk associated with all risk types and develops strategies for reducing legal exposure.
  • Lead analysis of and response to legal, regulatory, reputational, compliance, and policy matters within area of expertise
  • Identify and analyze complex legal issues, develop conclusions, make recommendations for issue resolution and meet deliverables
  • Serve as the primary legal contact for assigned clients
  • Collaborate within the department and across business and staff functions to address legal and risk issues in a manner consistent with the best interests of Wells Fargo.
  • Take an active role in the development, oversight and delegation of tasks to more junior staff.
  • May lead initiatives of varying scope and complexity.

Required Qualifications:
  • 5+ years of law experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education
  • Active State Bar Membership

Desired Qualifications:
  • Extensive mergers & acquisitions experience for financial institutions at a major law firm (or equivalent in-house experience), including substantial negotiation experience
  • Experience leading legal support for equity investments in early stage and growth companies
  • Leading transaction deal teams and advising senior management on all legal aspects of proprietary M&A transactions and strategic investments, including structuring, negotiating and drafting agreements, conducting complex due diligence and actively managing outside counsel and internal processes from planning through post-closing stages
  • Working with legal and control functions, including risk, compliance and audit, to assess regulatory requirements relating to each transaction and developing appropriate solutions to address such requirements
  • Assessing legal risks arising from such transactions, and applying policies and procedures and process changes to mitigate such risk
  • Providing legal guidance and expertise including general advice and drafting of transaction documentation and contracts
  • Supporting enterprise-wide initiatives including corporate strategy, recovery and resolution planning, and general corporate work
  • Experience as a practicing attorney
  • Ability to analyze legal and regulatory issues in area of practice and provide effective advice to clients on complex legal matters.
  • Extensive experience conducting research and providing counsel and guidance regarding complex legal issues.
  • Strong attention to detail and accuracy.
  • Excellent verbal, written, and interpersonal communication skills.
  • Ability to effectively organize and prioritize work while handling multiple matters.
  • Ability to work effectively in a complex environment with a high degree of collaboration.
  • Effective in building partnerships, functioning well with project teams, and working for the success of the team.
