Description:
Your Role:A motivated attorney to join the Company's corporate legal team. This position reports to the Corporate Counsel who is responsible for board of directors, corporate governance, capital markets transactions, public company representation and equity matters. This role will be part of the broader Legal, Risk, Sustainability and Compliance (LRSC) department.
You will support the corporate Legal team on a broad range of matters relating to board of directors and public company processes, securities law compliance and general corporate projects and the broader LRSC team helping to enhance legal processes and efficiencies. You will also collaborate with cross-functional teams, including HR, the Office of the CEO, Finance and Accounting.
What You'll Do:
- Manage, support and assist with all aspects of the Company's Board and Committee matters and meetings, including:Drafting and updating meeting agendas, schedules and minutes as well as resolutions;Maintaining annual meeting calendars and quarterly internal calendars;Scheduling of quarterly and off-cycle meetings;Coordinating, organizing and maintaining the Company's e-board book platform (Diligent), including posting of materials for review and online voting, coordinating cross-functionally on meeting materials, sending related communications to the Board and maintaining the Board and Committee Diligent resource center;Managing director compensation process and maintaining relevant records; Director onboarding and offboarding; andAll other tasks and projects required to coordinate the preparation for the meetings and to support the General Counsel and the Legal team during the meetings.
- Support corporate governance matters, transactions and compliance, including due diligence requests and submitting ongoing updates to NYSE on corporate governance requirements.
- Prepare and file (using the Company's filing platform) Section 16 reports for the Company's directors and executive officers and track 10b5-1 activity.
- Manage the Company's subsidiary operating partnership's partnership unit program, including assisting limited partners with redemptions and conversions of partnership units, and other requests related to partnership units.
- Work closely with the HR team to support the Company's equity plan administration.
- Support the continuous improvement of policies, procedures and forms for the LRSC department.
- Execute assigned projects as determined by needs of the LRSC department.
What You'll Need:
- Juris Doctor from an ABA accredited law school; license in good standing with at least one state bar (with eligibility for in-house counsel registration if necessary).
- 1-3 years of experience as a corporate attorney (law firm and/or corporate legal department).
- Experience supporting public company boards is required.
- Experience administering public company equity plans and handling Section 16 reporting is a plus.
- Experience with global entity management is helpful.
- Highly organized with strong attention to detail and excellent drafting, writing, speaking and analytical skills.
- Flexible team-player with excellent interpersonal and communication skills, both written and verbal.
- Self-motivated, independent and able to handle and prioritize time-sensitive projects.
- Ability to develop and implement processes for LRSC department.
