The position of In-House Legal Counsel will serve as the primary legal representative for Bravera Holdings Corp.(“BHC”) and its Subsidiaries (collectively, “Bravera”), providing guidance on a wide range of corporate legal matters. This role involves advising senior management, the Board of Directors, and other internal departments, while collaborating with outside counsel on specialized proceedings. The ideal candidate will have strong expertise in banking and finance law, corporate governance, and regulatory compliance.

Duties and Responsibilities:
  • Legal Representation: Will act as the legal representative for all corporate legal proceedings and will collaborate with outside legal counsel on specialized or complex matters.
  • Day-to-Day Legal Guidance: Will provide legal advice and guidance to staff on routine legal matters affecting Bravera.
  • Shareholder Matters: Will advise management as to shareholder matters, including obtaining a thorough understanding and application of the shareholder agreement, policies, and procedures.
  • Corporate Governance: Will advise on corporate governance by working with the Board of Directors and senior management, including advice related to Articles of Incorporation, Bylaws, corporate registrations, Stock Sale and Incentive Policy, and ownership matters.
  • Banking and Customer Matters: Will serve as the primary legal contact for Bravera matters involving customers, including drafting contracts, loan covenants, loan work-outs, foreclosures, bankruptcy proceedings, account issues, etc. Will negotiate with borrowers or their legal counsel on loan restructuring and other legal matters.
  • Mergers & Acquisitions (M&A): Will work with management to address legal matters related to M&A activities. Will draft and review regulatory applications, disclosure/non-disclosure agreements, purchase agreements, and other associated legal documents. (Experience with ERISA helpful.)
  • Employment Law: Will advise Human Resources on legal employment matters such as severance agreements, employment offers, and compliance with employment laws.
  • Collaboration with Subsidiaries: Will provide legal support to Bravera Bank, Bravera Wealth and Bravera Insurance as requested.
  • Promote legal, compliance and risk management policies adopted by Bravera.
  • Manage and mitigate legal risks by assisting with the designing and implementing of policies and practices.
  • Regulatory Compliance Research: Will research and interpret federal and state laws in North Dakota, Montana, and Minnesota concerning the banking and finance industry.
  • Outside Counsel: Will manage litigation and coordinate with outside legal counsel as needed.
  • Responsible for promoting Bravera in the community through participation in various industry and community events, activities, committees, and organizations.
  • Must maintain a high level of confidentiality and professionalism regarding all employee and customer issues and information.
  • Must adhere to all rules and regulations to which Bravera is subject, including but not limited to the requirements of the Bank Secrecy Act. In addition, must be proactive in the prevention of illegal activities, will vigilantly look for activities that may constitute any type of fraud including money laundering, and will report any suspicious activity to the BSA Officer.
  • Contribute to the overall success of the organization.

Qualifications:
  • Juris Doctor (JD) degree from an accredited law school.
  • Active license to practice law in North Dakota and ability to obtain licensure promptly for Minnesota and Montana.
  • Minimum 5 years of experience in corporate law, banking law, or financial services.
  • Excellent communication, negotiation, and drafting skills.
  • Ability to work effectively with senior management, the Board of Directors, and various internal departments.
  • Experience handling employment law, shareholder matters, and regulatory compliance is preferred.
  • Knowledge of banking regulations, corporate governance, and M&A legal practices is preferred.
