Position Summary:The In-House Counsel provide educated legal advice to senior management, board members and other executives on various legal matters and advise them on how to remain compliant with current corporate laws. This role will have a broad knowledge of all aspects of the legal field, including litigations, corporate law, and labor law, to increase legal acumen across our Teams.
Essential Duties and Responsibilities:
The essential functions include, but are not limited to the following:
- Review, structure, draft and negotiate commercial agreements in a broad range of transactional disciplines, including but not limited to marketing and services agreements, influencer agreements, production agreements, co-branding agreements, NDAs, license agreements, sponsorship agreements, vendor agreements.
- Proactively identify litigation risks and work across business teams to mitigate these risks.
- Ensure that appropriate litigation and dispute resolution processes are implemented and are evolving to effectively meet team and corporate needs.
- You will assist with managing litigation and investigations and on the strategy and resolution of cases, plus general risk management.
- You will handle litigation and dispute related issues and draft various motions, briefs, and other pleadings.
- Negotiate, review, and prepare commercial contracts.
- Draft and review legal documents including MOUs, business agreements, employee letters, company SOPs, etc.
- Manage legal claims against the company
- Gather and evaluate internal and external information, and perform legal research and analysis, to determine whether company actions or processes comply with company policies, laws and regulations.
- Responsible for reviewing, tracking, and monitoring legislation that impacts the company's products and/or processes.
- Guiding managers on regulatory and compliance matters
- Analyze and summarize legal documents.
- Assist in selection, retention, management, and evaluation of all outside counsel.
- Help to coordinate and manage the company's IP.
- Address any labor law related issues and disputes that arise
- Assist in corporate business development affairs
- Manage and collaborate with top tier outside law firms.
Minimum Qualifications (Knowledge, Skills, and Abilities):
- Minimum of 1-2 years of corporate, transactional law and litigation experience.
- In-house experience preferred, but not required.
- Self-starter; entrepreneurial, “roll up your sleeves” attitude.
- Ability to work in a fast-paced start-up environment.
- Exceptional legal drafting, research and analytical skills.
- Assists in improving processes and procedures
- JD from a U.S. accredited law school
- Must be a current member of good standing of a state bar in the US.
- A strong work ethic, attention to detail and sense of professional accountability.
- A good sense of humor and values collaboration
- Knowledge of general business law
- Ability to take constructive criticism and direction from internal resources.
- Ability to attend to multiple projects while prioritizing and meeting tight deadline
- Excellent interpersonal and communication skills, analytical, diplomatic, research and writing.
