Description:
This role is for an In-House Counsel for Red Apple Media a New York city based conglomerate. Red Apple is the owner and operator of the iconic WABC Radio. We also have interests in oil and gas, real estate, supermarkets and minor league baseball. The focus will be on media and employment law but the role will handle transactional and litigation matters for other lines of business. Some of the typical day-to-day will include negotiating, drafting and/or reviewing an array of talent contracts, materials licensing, integrated marketing and vendor agreements, NDAs and guaranties, as well as other contracts across the business. This role will advise on broadcast standards and practices issues, copyright, privacy, defamation issues, wage and hour issues, discrimination, harassment claims as well handle other general litigation matters. Position responsibilities also entail vetting promotional material, website, internet content, and giveaways, contests & sweepstakes. The ideal In-House Counsel will be capable of providing thoughtful legal advice to the producers, crew, promotional and creative teams on all potential legal risks and compliance issues in a variety of areas, as well as managing employment and labor claims. The successful candidate will have excellent written and verbal communication skills; be organized and able to multi-task in an active, time-sensitive environment; and possess excellent judgment and professional discretion.
Responsibilities:
- Working with a range of departments, including production, HR, and risk management to implement policies and procedures.
- Participating in and contributing to deal discussions and researching business and legal issues.
- Counseling internal clients on a variety of legal matters, including union and labor issues, IP rights, music issues, and providing risk assessment for production-related matters.
- Performing day-to-day legal and business affairs-related tasks as needed and assigned.
- Manage general litigation matters- actions brought against company in State and Federal Courts including preparing and serving papers, discovery, motions and conducting depositions.
- Managing employment and labor claims from inception in federal and state court and administrative agencies (EEOC and the New York State Division of Human Rights).
- Provide litigation support when needed, both in court and before administrative agencies.
- Work with and manage outside legal counsel from time to time regarding any or all the above responsibilities.
- Draft and review all contracts and agreements between the Company and its customers, vendors and any third parties.
- Review NDA and guaranty agreements. Also review various other supply, credit and other agreements on an as requested basis.
- Assist Company, and work with outside counsel when necessary, in interpreting union contracts, employee relations issues, state and federal labor laws, FCC compliance issues and other matters.
- Legal support for acquisition, construction and interconnection of facilities or operations.
- Assist HR and General Counsel with employment contracts and matters related to employees.
Qualifications:
- MEDIA and/or EMPLOYMENT EXPERIENCE a Must.
- 3 or more years law firm and production vetting experience
- Knowledge of defamation, rights of privacy and publicity, fair use, and copyright and trademark law
- Knowledge of general employment law matters
- Litigation experience a plus
- JD from an accredited law school and NY State Bar membership
