Responsibilities:
  • GC is a trusted partner and a strategic advisor to Business senior leadership who (i) provides best practice, solution oriented and risk intelligent advice and guidance, and (ii) influences and drives decisions to help deliver optimal business outcomes and achieve short term and long term strategic objectives and goals of the Business.
  • GC establishes and fosters optimal working relationships with global internal clients, in particular executive Business management, based on mutual trust and respect and comprehensive knowledge and superior understanding of CSL's business, Business' strategy and requirements.
  • Lead global Business clients on a broad range of legal issues, including advice on potential risks and how to address and/or mitigate such risks, and drive highly actionable solutions. Applies such legal leadership to all strategic transactions, research and technology licensing activities and other requirements for the Group's R&D pipeline and external early stage, on-market and corporate opportunities (including research collaborations, in-licenses, and mergers, acquisitions and divestments). Such first in class trusted partnership will not only enable the Business to realize its strategic goals and objectives, but it will also support the Business and the larger CSL organization in establishing and maintaining a global leadership position across its therapeutic areas while ensuring compliance and safeguarding resources and reputation of CSL.
  • Leverages past experience and current industry best practice and knowledge to deliver innovative and risk intelligent solutions to ensure achievement of short- and long-term strategic objectives and competitive advantages.
  • Lead negotiations with external parties and partners in all strategic transactions and collaborations, manage interaction with external expert teams.
  • In close coordination and collaboration with GGC, GC is an active member of due diligence teams for strategic transactions and oversees and guides due diligence legal workstreams (internal as well as external teams), reports and provides recommendations and advice to GLG or CSL Board as appropriate.
  • Provide strategic counsel to CSL parties on Business driven joint ventures, including corporate counsel on structure, board and steering committee composition and decision making process.
  • Accountable for the provision of commercially astute advice to the global, enterprise- wide R&D organization, including Clinical R&D, Plasma Product Development. Recombinant Product Development, Gene Technology Development, Regulatory Affairs, Pharmacovigilance and other R&D functions on a broad range of legal and strategic matters, including matters related to research collaborations (e.g. with Universities), global clinical trials, regulatory, global registration of products and devices or adverse event reporting.
  • Working in collaboration with Legal Partners, Privacy and Ethics and Compliance colleagues to provide inputs and using expertise to assimilate these inputs to ensure the provision of best quality, compliant and ethical support to the Business.
  • Lead contract strategy and execution for R&D and Strategy and Business Development.
  • Active member of the R&D and Corporate Strategy and Business Development executive leadership teams. Provide strategic business partner contributions and direction as a member of such executive leadership teams.
  • Maintain a broad and deep knowledge of technology commercialization and CSL's R&D pipeline and Strategy and Business Development initiatives, including products, strategies, and long-term goals, to provide business-focused, highly-actionable advice to enable optimal, risk-informed decisions by the business.
  • Lead and develop global team of highly skilled expert counsel and provide strategic vision and guidance for the function.
  • Manage and supervise global panel of external law firms supporting M&A and licensing transactions.
  • In close collaboration with GGC and LLT, leadership role in developing and implementing the Global Legal Strategy, particularly championing trusted strategic partnership, risk intelligence and innovation.
  • As an active member of the LLT, the [A]GC collaborates with other senior legal leaders globally to build and operate as a first in class in-house team.

Qualifications:
  • Bachelor's degree and JD
  • Relevant bar admission or permission to practice in-house.
  • Minimum of 15 years' experience with an international corporate group or law firm.
  • Minimum of 10 years' of experience in the global medical/scientific research, pharmaceutical, biotech, or medical device industry.
  • Deep experience in drafting, advising on and negotiating a broad variety of Business agreements, including intellectual property commercialization agreements.
  • Deep understanding of globally relevant intellectual property and anti-trust laws.
  • Strong experience with corporate M&A transactions.
