The Opportunity:This position focuses on large and small M&A and finance related transactions, leads the company's legal and corporate compliance and otherwise supports the legal needs of the company at the CLO's direction. This position may have direct reports. This is a highly visible position, which will have frequent interaction with international colleagues.
The General Counsel, M&A, Finance and Compliance is a seasoned professional, able to handle multiple transactions without significant oversight. The position requires diligence, professionalism, and the ability to ensure the goals are achieved.
What You'll Do at Enel North America:
Responsibilities, include, but not limited to:
- Leads mergers, acquisitions, strategic transactions and other largeand small scale transactions, including drafting and negotiating stock/interest and asset purchase agreements, merger agreements, joint venture agreements and equity or debt financings. Coordinate and conduct due diligence.
- Meets with relevant internal stake holders on a regular basis to maintain awareness of the company's on-going activities.
- Monitors activities of other in-house and outside counsel to assure the company's objectives are being met.
- Works with parent company general counsel and corporate affairs department to provide information relating to the company as appropriate.
- Monitors applicable laws and legislation to assure company compliance with legal requirements relating to business activities.
- Maintains compliance and oversight of company's subsidiaries
- Position may oversee other lawyers and associate general counsels.

- Strong communication skills both written and oral; ability to present clear and practical legal positions.
- Ability to work on multiple projects simultaneously in diverse legal subject areas
- Demonstrated ability to provide strategic and commercial legal advice and recommendations and excellent business judgment
- Strong leadership skills, and creativity to drive and motivate others including experience managing staff;
- Excellent interpersonal skills; builds strong working relationships across the organization
What You've Accomplished:
- Juris Doctorate from an accredited law school required.
- 10 or more years of complex, high level practice experience
- 15% travel required
- Candidate must work a hybrid schedule from the Andover, MA office.
