About the role: The General Counsel will oversee and manage all legal matters for magniX. This role requires a deep understanding of aerospace manufacturing, government contracting, intellectual property, corporate governance, regulatory compliance, and contract law. The ideal candidate will be a strategic thinker with exceptional problem-solving skills, a deep understanding of government regulations, and the ability to work collaboratively across various departments.

This is a high-visibility and high-impact role in which you will participate in and influence business decisions across the organization.

Primary Responsibilities:
  • Legal Advice and Strategy:
    • Provide legal counsel and strategic advice to the executive team and board of directors on various issues, including corporate governance, risk management, and compliance.
    • Develop and implement legal strategies to support the company's goals and objectives.
  • Contract Negotiation Management:
    • Draft, review, and negotiate contracts with clients, suppliers, and partners to ensure favorable terms and compliance with legal standards.
    • Oversee the resolution of contract disputes and enforce contractual obligations.
  • Government Contracts:
    • Manage and oversee government contracts, including negotiation, drafting, compliance, and performance monitoring.
    • Ensure adherence to federal acquisition regulations (FAR) and other government contracting requirements.
    • Address and resolve issues related to government contracts and procurement.
  • Regulatory Compliance:
    • Ensure compliance with federal, state, and local regulations relevant to aerospace manufacturing, including environmental laws and export controls.
    • Monitor and interpret changes in laws and regulations affecting the industry and advise on necessary adjustments.
  • Intellectual Property:
    • Manage and protect the company's intellectual property portfolio, including patents, trademarks, and trade secrets.
    • Oversee IP-related disputes and enforcement actions.
  • Immigration Law and Employee Cases:
    • Manage immigration matters for international employees, including visa applications, compliance with immigration laws, and handling any related issues.
    • Advise on immigration policies, support employees through visa and work permit processes, and ensure compliance with U.S. immigration regulations.
  • Litigation Management:
    • Handle or oversee litigation matters, including employment disputes, product liability claims, and other legal actions.
    • Coordinate with external legal counsel when necessary.
  • Corporate Governance:
    • Provide legal support for corporate governance matters, including board meetings, shareholder communications, and corporate filings.
    • Ensure compliance with corporate bylaws and internal policies.
  • Risk Management:
    • Identify and assess legal risks associated with business operations and provide recommendations to mitigate those risks.
    • Advise on risk management practices and policies.
  • Team Leadership:
    • Lead and manage the legal department, including overseeing legal staff and external legal advisors.
    • Foster a collaborative and high-performance work environment.
    • Collaborate with various departments to address legal issues arising from rapid growth and innovation.

Qualifications:
  • Juris Doctor (JD) degree from an accredited law school.
  • Admitted to practice law in Washington State.
  • 8+ years of legal experience, with a significant portion in a corporate or in-house legal role within the aerospace or manufacturing industry and a strong government contracting background.
  • Strong understanding of aerospace industry regulations, contract law, intellectual property, and immigration law.
  • Established experience in private equity transactions, investment management issues, and risk management strategies
  • Proven experience in negotiating and drafting complex contracts, managing litigation and government contracts, including familiarity with FAR and related regulations.
  • Strong background in immigration law and handling complex immigration cases for employees.
