What You Will Be Doing in The Role of General Counsel & Corporate SecretaryReporting to The President & Ceo, the General Counsel & Corporate Secretary Is Responsible for Providing Legal Guidance and Support to Susan G. Komen. This Position Involves Ensuring Compliance with Applicable Laws and Regulations, Managing Legal Risks, Internal Audit and Risk Management Functions Within Komen as Well as Serving as A Key Advisor to The Executive Leadership Team, Ceo and Board of Directors. This Role Requires Expertise in Nonprofit Law, Risk Assessment, and Governance.
What You Will Bring to The Table
Legal Advice
- Provides Legal Counsel on A Range of Issues Including Governance, Compliance, Contracts, and Employment Law.
- Oversee the Contract Review Process to Protect Komen's Interests.
- Drafts and Negotiate Agreements Between the Organization and Third Parties (including but Not Limited to Corporate Sponsorship Agreements, Cause-Related Marketing and Partner Program Agreements, Service Agreements, and All Other Agreements).
- Manages All Litigation Filed Against Komen, Including Coordination with And Oversight of Outside Counsel and Applicable Insurance Carriers. Effective Management of Outside Counsel.
- May Assist in The Defense of The Organization in Lawsuits or The Prosecution of Lawsuits on Behalf of The Organization.
- Creates and Manages the Legal Infrastructure for The Organization to Include Policies and Procedures, Legal Operating Guidelines, Legal Compliance Review, and Supporting Documents.
- Responsible for Protection and Enforcement of The Rights to And in Komen's Domestic and International Assets and Intellectual Property.
- Oversee the Organization's Governance Framework, Including the Development and Maintenance of Bylaws and Policies.
- Manage Corporate Governance Matters, Including the Preparation of Board Materials and Minutes.
- Provides Board Governance Guidance and Support for The Organization and Its Board of Directors.
- Serve as Adviser and Counselor to The Ceo and Board of Directors.
- Prepare for Board Meetings, Including Drafting Minutes, Resolutions and Ensuring Proper Documentation.
- Develop and Implement Risk Management Policies and Strategies to Identify, Evaluate and Mitigate Risks Facing the Organization.
- Manage Relationships with Insurers; Develops, Monitors, and Evaluates Policies; and Optimizes Risk Management.
- Ensure Komen Complies with All Relevant Federal, State, and Local Regulations Affecting Nonprofit Organizations, Including but Not Limited to Tax Implications, Employment Matters, Contracts, Insurance, Risk Management, Intellectual Property, Trust & Estate Administration.
- Uses a Broad Range of Legal Expertise and Current Knowledge to Advise Leadership on Any Regulatory Changes or Actions that May Impact the Organization.
- Monitors and Oversees Compliance with All Laws and Regulations, Including, but Not Limited to Regulations Impacting Komen's 501(c)(3) and Non-Profit Status, Data Privacy, and Relevant Healthcare Regulations.
- Investigates and Evaluates Compliance Issues and Ensures Organizational Compliance and Recommends Operational Changes or Alternative Policies and Procedures.
- Oversee the Internal Audit Process, Ensuring that Financial and Operational Practices Are Compliant and Effective.
- Overseas Day-To-Day Operations of The Internal Audit Function, Ensuring Financial and Operational Practices Are Compliant and Effective.
- Liaison with The Audit Committee and The Internal Audit Team.
Oversee the Development of Training Materials for Staff and Board Members on Legal Responsibilities, Risk Management and Ethical Standards.
Management Responsibility:
The General Counsel and Corporate Secretary Manages the Following: Deputy General Counsel, & Administrative Assistant. Indirect Reports Include: Sr. Manager Risk & Compliance, Associate General Counsel & Paralegal.
Performs All Other Duties as Assigned.

We Know You Will Have and Be Able To
- Juris Doctor and A Minimum of 10 Years' Experience in The Practice of Law, with A Minimum of 3 Years at The Level of General Counsel or Partner in A Private Nonprofit/ngo Practice, or Legal Management Equivalent.
- Experience Should Be Broad in Nature and Address Transactions, Contracts, Regulatory, Tax, Litigation, and Commercial Practice Areas.
- Licensed to Practice Law in The Usa, for 3+ Years of Above Referenced Experience.
- Trave up To 15%.
- Prior Experience with A Not-For-Profit Organization Considered a Plus.
- Strong Background in Nonprofit Law.
- Excellent Analytical Skills.
- Excellent Communication Skills.
- Excellent Interpersonal Skills, Including Oral and Written Presentations.
- Ability to Work Collaboratively with A Diverse Group of Stakeholders.

- Competitive Salary of $176,000 to $255,000/annual, Exact Compensation Ranges Are Based on A Range of Factors Including but Not Limited to The Labor Market, Job Level, Internal Equity, and Budget.
