About the Role
The Director, Intellectual Property & Transactions Counsel will primarily advise and counsel Harman’s global businesses on intellectual property (IP) issues. The ideal candidate will have hands-on transactional experience handling basic and complex intellectual property and commercial legal issues, including IP licensing agreements, and a strong understanding of intellectual property rights to develop, advise and counsel clients on protection, risk avoidance and enforcement strategies. Relevant experience could include: software and technology licensing in the context of use in products, cloud platforms and other applications, software and technology development and related transactions; intellectual property transactional support for procurement and sales; product and patent analysis counseling; and litigation support.

Your Team
This position will report to HARMAN’s VP, intellectual Property and has no direct reports. This position will manage outside counsel in connection with certain work.

What You Will Do
  • Provide time-sensitive, pragmatic and business-oriented legal counseling on intellectual property issues in the development of our world-class products, including working with product teams on developing best-in-class legal reviews and processes for software and hardware product development from tracking and reviewing of in-house and third-party IP components;
  • Act as the lead legal contact for procurement and other businesses on technology, licensing, development, and engineering services agreements and for providing counseling and guidance on IP issues in commercial and customer transactions.
  • Act as lead counsel on technology-driven transactions across Harman's business divisions.
  • Advise on technology licenses between Harman business units and their suppliers and customers, including indemnification and other commercial terms;
  • Be capable of drafting, reviewing and negotiating agreements that involve all types of intellectual property, including intellectual property licenses (including patent and copyright); joint development, collaboration and other strategic alliance agreements; technology licenses; and services agreements (including software as a service agreements).
  • Be capable of drafting, reviewing and negotiating development agreements, software licenses, and standard industry licenses in support of Harman’s product development and production, including without limitation audio codec licenses; and
  • Collaborate with IP litigation counsel and provide support in software and patent litigation matters.
  • Manage high volume of transactions.
  • Develop best practice and training materials for IP transactions and provide training to management, general attorneys, and procurement specialists.
  • Engage in collegial and collaborative discussions with internal clients including technology leaders, product development, business and sales teams to counsel and obtain alignment on positions concerning a variety of IP terms and issues.
  • Support in implementing IP strategy throughout a wide range of agreements, such as, NDAs, partnership, marketing, joint development, patent license, service, standards organization membership, employment and M&A purchase agreements.
  • Support in managing outside counsel and budgets.

What You Need
  • Law degree from a reputable law school in the United States;
  • Technical degree in mechanical, electrical or computer engineering and/or other strong technical-oriented work experience with significant familiarity with software licensing, IP law in automotive, software or other high technology industry;
  • At least 10 years of relevant experience, in house and/or law firm, working on software product licensing as well as intellectual property counseling and transactions;
  • Member in good standing of a State Bar (may require eligibility for registered in house counsel), with no prior adverse disciplinary action;
  • Excellent organizational skills and attention to detail, including the ability to prioritize multiple tasks and respond promptly to shifting priorities
  • Excellent written and oral communication skills, including ability to take complex legal concepts and explain in lay terms to the business and ability to collaborate (in writing and verbally) across all levels of the organization.

What is Nice to Have
  • Experience advising on issues surrounding technology standards;
  • Experience in global IP protection and management strategies, ranging from filing to maintenance, leading whitespace/landscape studies, clearance opinions, and patentability evaluations;
  • Experience supporting IP due diligence in M&A transactions and IP acquisitions and divestitures;
  • Ability to work and communicate well in an international, multi-layered organization with global team while providing pragmatic, business-oriented advice for problem solving;
  • Respectful and highly collaborative, but with ability to work independently;
  • Flexible, can-do, positive attitude with an entrepreneurial spirit and sense of humor; and
  • Possess excellent leadership skills and a strong work ethic with ability to communicate and strategize proactively with senior management.

What Makes You Eligible
  • Willingness to travel at least 10-15% of the time;
  • Willingness to work in a HARMAN office in Novi, Michigan or Northridge, California;
  • Willingness to spend significant amounts of time communicating with and/or spending time in our worldwide offices in various time zones; and
  • Willingness to submit to a background screen and a drug test.
