An Annuities, Disability, Medical, Accidental and Life Insurance Services Company has an exciting opportunity to join our Investment Management Team as a Counsel - Investments.

About the role:
Counsel – Investments will provide legal transactional support for various asset classes and general legal support for various investment functions. This position requires a solid foundation of investment law. Attorney will also be responsible for supporting day-to-day legal and compliance matters.

What you will do:
  • Knowledge of pertinent private investments (private placements and funds/ co-investments), fund formation, liquid traded debt, derivatives, and/ or securities regulatory laws, and applicable documentation.
  • Responsible for interaction with internal and external constituents, including senior management, on various legal issues, including those of a complex nature, with a focus on private investments.
  • Responsible for managing projects and supporting others on various legal issues, including those of a complex nature.
  • Will be required to perform the following:
    • Draft and review a variety of contracts and agreements, including loan documents, private placement note purchase agreements, private fund/ CLO formation documents, private fund investment documents, procurement related agreements, and NDAs.
    • Provide regulatory support (including using external resources) appropriate for a registered investment adviser.
    • Assist in analyzing new product ideas or sophisticated corporate projects.
    • Provide advice to operational and/or shared services regarding legal issues.
    • Research and provide timely advice on applicable legal issues.
    • Participate in management and other meetings.
    • Assist senior attorneys on a variety of matters and work well in cross-functional teams and be accountable for advice and meeting deadlines.

Requirements:
  • Juris doctor degree from an accredited law school.
  • 3 or more years working for private law firm, in-house and/ or regulatory agency.
  • Familiarity working with an investment adviser, life insurance company or multinational company (directly or as clients) preferred.
  • Ability to provide business focused legal advice and guide internal clients to make risk-based decisions.
  • Private Investment, Fund Formation, Liquid Traded Debt, Derivatives, or Investment Regulatory Legal experience.
  • Bar admission required (with ability to secure CT house counsel status or CT bar admission within 6 months of commencing work).
  • Understanding of securities laws and investment management industry and the competitive environment.
  • Advanced analytical and communication skills. Dependable team player and able to be cool under pressure. Ability to handle multiple projects effectively. Ability to work on complex legal issues. Ability to deal effectively with clients, including senior management.
