Description:

The Counsel – Intellectual Property (IP) and Commercial Legal role will provide strategic legal support and advice on IP matters and commercial legal affairs relating to the company. The Counsel will work closely with business stakeholders to (a) review, draft and negotiate agreements (e.g. confidentiality agreements, licenses, research agreements and collaboration agreements), (b) advise on competitor IP positions and freedom to operate assessments, (c) counsel on litigation and other adversarial proceedings, (d) advise on general patent, trademark and copyright matters and (e) provide due diligence IP support for commercial transactions. The Counsel will also participate in company patent review meetings, assist with the oversight of the company's patent and trademark portfolios and work with outside counsel to manage the preparation, filing and maintenance of all patents and trademarks. Furthermore, the Counsel will serve as a strategic partner to various business units by supporting and interfacing with project teams on various commercial legal matters.

Your Day to Day:
Intellectual Property
  • Serve as a strategic partner (and key legal counsel) for business stakeholders on all IP matters relating to the company and align IP strategies with business and strategic plans, including serving as the legal representative to one or more company patent committees
  • Review, draft and negotiate agreements (e.g. confidentiality agreements, licenses, research agreements and collaboration agreements)
  • Manage outside counsel and assist with the oversight of the patent and trademark portfolios
  • Advise on freedom to operate assessments, litigation and other adversarial matters
  • Provide due diligence IP support for commercial transactions
  • Provide training on IP matters to company employees

Commercial Legal
  • Serve as a strategic partner to various business units by supporting and interfacing with project teams within the various organizations of the company along with customers, vendors and outside counsel
  • Review, analyze, negotiate and draft commercial agreements
  • Identify and advise on legal risks associated with commercial engagements
  • Collaborate with internal project management groups and business teams to achieve corporate objectives
  • Train and advise management on legal and compliance matters and risk mitigation efforts
  • Travel domestically and internationally on an as-needed basis

Who You Are:
  • Juris Doctor with strong academic credentials from an accredited law school
  • Minimum 3 years of relevant experience (large law firm experience preferred; in-house counsel experience preferred)
  • Active license to practice law in a US State
  • Admitted to practice before the United States Patent and Trademark Office (preferred)
  • Proficient with Microsoft office and related applications
  • Strong legal research, analysis and writing abilities
  • Strong knowledge of substantive areas of law related to IP
  • Experience with commercial legal matters
