What you'll be doing…
Verizon is looking for an experienced lawyer to join the Corporate Governance & Reporting team in Basking Ridge, NJ or New York City, NY. This position offers a fantastic opportunity to advise senior management and the Board of Directors of a Fortune 30 company in a dynamic environment on corporate governance, SEC reporting, compliance with U.S. federal securities laws and other critical public company matters.

Responsibilities will include:
  • Serving as an integral partner in preparing for meetings of the Verizon Board of Directors and its committees, including preparation of meeting materials, resolutions, minutes and critical research.
  • Assisting with drafting the Proxy Statement and other materials for Verizon's annual shareholder meeting and manage the shareholder proposal process.
  • Preparing and reviewing SEC filings, including Annual/Quarterly Reports on Forms 10-K/Q, Current Reports on Form 8-K, Section 16 Filings (Forms 3/4/5) and others; and advise on complex public company disclosure and reporting questions .
  • Providing advice and counsel regarding subsidiary management and corporate recordkeeping
  • Monitoring and ensuring compliance with governance-related requirements under Delaware law and NYSE and Nasdaq listing standards.
  • Advising and partnering with the Investor Relations and Communications teams on public company disclosure matters and best practices.
  • Monitoring and providing counsel on emerging corporate governance trends, regulatory changes and legislative initiatives to assess their impact on Verizon's operations and strategic roadmap.

What we're looking for…
You'll Need to Have:
  • J.D. or LLM degree and six or more years of experience.
  • Bar membership in good standing in at least one state.
  • Five or more years of capital markets or public company advisory experience in-house or at a top tier law firm.
  • Strong technical and practical knowledge of federal securities laws, stock exchange listing rules and public company market practices.

Even Better if You Have One or More of the Following:
  • Excellent legal and business judgment, with the interpersonal skills necessary to build relationships and advise senior management across a large, complex organization.
  • Outstanding writing, editing and oral communication skills, adaptive to and effective for different audiences.
  • Proven ability to manage multiple high-priority workstreams simultaneously with exceptional attention to detail.

Where you'll be working
In this hybrid role, you'll have a defined work location that includes working from home and a minimum of three days per week in the office, which will be set by your manager. Employees are responsible for maintaining compliance with hybrid work policies.
