About the role:
We are currently searching for a Counsel, Corporate Legal, to support A Ride-Sharing Mobile Application Company Corporate Legal team. This is a great opportunity to work on cutting edge issues in an exciting, fast-paced environment. This position is based in San Francisco or New York.

What You'll Do:
  • Partner closely with A Ride-Sharing Mobile Application Company Treasury and Capital Markets team and other legal and cross-functional teams and manage and support treasury and capital markets initiatives, transactions and ongoing activities.
  • Partner closely with A Ride-Sharing Mobile Application Company Corporate Development team and other legal and cross-functional teams and manage domestic and cross-border strategic investments, M&A, joint ventures, and other corporate transactions through each stage of the transaction lifecycle.
  • Support the Corporate and Securities team with securities law compliance and SEC/public company reporting activities.
  • Collaborate with business, finance, tax and other legal teams on complex, fast-paced projects.

Basic Qualifications:
  • 5+ years of diverse capital markets (debt and equity transactions), M&A/investments and securities law/public company reporting experience at a law firm and/or in-house.
  • J.D. and license to practice law in at least one state.

Preferred Qualifications:
  • Experience working with public companies and SEC reporting in the technology sector.
  • Experience negotiating, drafting, and managing VC-style minority investments across a variety of instrument types (preferred convertible equity, warrants, convertible notes, etc.).
  • Ability to manage and lead cross-functional teams / projects with a diverse group of stakeholders.
  • Strong business acumen and judgment with a strong understanding of financial metrics and fundamentals.
  • Strong team orientation, with confidence and flexibility to perform in forward-thinking, constantly evolving, and growing environments.
  • Collaborative approach with both business and legal groups, with strong ability to build relationships, gain credibility, and partner with others.
  • Superior analytical and legal skills, mature judgment, innovative thinking, and a desire to take the initiative and think two steps ahead.
