As the Senior Corporate Counsel - Corporate & Securities, at A Leading AI Lending Platform, you will help lead major projects related to A Leading AI Lending Platform public company disclosures and A Leading AI Lending Platform corporate governance practices. You will also assist with strategic transactions like private and public securities offerings.

How you'll make an impact
  • Provide legal support for the quarterly earnings process
  • Draft, review and update SEC filings such as the 10-K, 10-Qs, 8-Ks and Section 16 filings
  • Project manage the proxy statement and advise on executive compensation matters
  • Prepare Board and Board committee written consents, meeting materials, meeting minutes and resolutions
  • Help execute strategic transactions like debt and equity offerings and assist with M&A deals
  • Advise on insider trading issues and equity plan matters and review 10b5-1 trading plans

Minimum Qualifications:
  • J.D. degree with solid academic credentials and a state bar membership (CA or NY preferred)
  • 7+ years of legal experience in corporate and securities law at a major law firm and/or in-house at a public company
  • Excellent knowledge of securities laws and regulations, including Exchange Act filings like 10-Ks, 10-Qs, proxy statements, earnings releases and 8-Ks
  • Solid corporate governance experience working on board of directors' and board committee matters
  • Familiarity and experience with corporate finance transactions, including in the debt and equity capital markets
  • Self-starter who thrives under limited direction and is excited by challenges
  • Strong communication and project management skills with a demonstrated ability to effectively and proactively provide quick, concise, and practical legal advice
  • Excellent judgment with demonstrated decision-making capability while dealing with legal, regulatory and business issues involving competing interests
  • Team mentality

Preferred Qualifications:
  • 2+ years of in-house legal experience at a public company
  • Experience leading mergers and acquisitions deals
  • Experience in the financial services or fintech space
