Womble Bond Dickinson (US) LLP is currently seeking a mid to senior level transactional associate to join its Corporate and Securities Practice Group. This position is part of Womble Bond Dickinson's firm-wide Public Company Advisors Team, and the associate will work in a collaborative environment as part of a dynamic multi-office team representing the firm's public company and other clients.
Qualified candidates will have outstanding academic credentials and have at least three years of corporate and securities experience in a large regional or national law firm. Candidates will have experience with 1933 Act equity and debt securities offerings and 1934 Act matters, including proxy statements, periodic reporting on Forms 8-K, 10-K and 10-Q, and Section 16 reporting. Candidates will also have experience advising issuers on public company corporate governance matters, and those candidates with a strong understanding of national securities exchange regulations, as well as key principles of executive director compensation, are preferred. Strong candidates will demonstrate excellent problem solving skills and enthusiasm for general corporate counseling, ranging from ordinary course public company activities to significant transactions matters. Candidates must also be licensed to practice law in the jurisdiction in which they are located or have the ability to become licensed as soon as possible.
