Position Summary:
An Employee Health Benefits Solution is seeking in-house Corporate Counsel to collaborate closely with our business leaders, product & technology, and cost containment teams. In this role, you will charting the company's strategy in contracting with our key commercial and cost containment partners, drafting and negotiating a wide variety of contracts and managing the contract workflow, and in scaling the infrastructure of legal support within the organization.

The role requires an attorney with strong business acumen, excellent legal judgment, and the ability to manage multiple responsibilities in a fast-paced environment. The ideal candidate will have a background in corporate law, strategic business development and partner contracting, healthcare law, and familiarity with insurance products. The person who succeeds in this role will be a dynamic a self-starter, focused on delivering high-quality legal work aligned with our business objectives.

Key Responsibilities:
  • Work with internal stakeholders to ensure efficient and effective deal execution that supports business objectives
  • Draft, review and negotiate a wide variety of corporate contracts, including business development, partnership, and vendor service agreements
  • Support the implementation of corporate policies and procedures, ensuring alignment with legal requirements
  • Assist in managing and mitigating legal risks by identifying potential issues and providing proactive legal advice to business stakeholders
  • Serve as legal business partner to the CEO, President, CFO, and other members of the leadership team, balancing risk and opportunity
  • Ensure compliance with industry-specific regulations, particularly in the healthcare sector, advising on HIPAA and data privacy matters
  • Provide training and support to internal teams on legal and regulatory matters
Required Skills & Qualifications:
  • D., licensed to practice law in the United States, with active membership in good standing with a state bar, preferably Pennsylvania or Delaware
  • 5+ years of relevant legal experience, preferably with at least two years in-house in smaller organization alongside law firm experience
  • Proven experience drafting, reviewing, and negotiating a variety of contracts and agreements
  • Solid background in a wide variety of corporate matters, including employment, compliance, and risk management matters
  • Strong analytical and problem-solving skills, with the ability to identify and mitigate legal risks
  • Excellent written and verbal communication skills, capable of conveying complex legal concepts to non-legal stakeholders
  • Ability to manage multiple projects and deadlines in a fast-paced, high-growth environment
  • Detail-oriented with a strong commitment to accuracy and quality
  • Strong interpersonal skills, with the ability to build relationships and work collaboratively with internal and external stakeholders
  • Proactive, self-motivated, and able to work independently with minimal supervision
  • Flexibility and adaptability to respond to changing business needs and priorities
  • Experience in the healthcare industry or with healthcare regulations (such as HIPAA) is preferred
