Description:

An Investment Service Company is seeking a tech-savvy Corporate Counsel for its legal department. An Investment Service Company is a North Bethesda-based international private equity fund and asset management firm covering real estate, information, and healthcare.

The Corporate Counsel will be responsible for the life cycle of all An Investment Service Company contracts and day-to-day transactions; the role includes oversight of the firm's contract management and admin processes, legal technology systems, and admin functionalities.

An Investment Service Company manages the legal functionalities of multiple operating companies/units, including:
  • Asset management firm (international real estate and healthcare)
  • Senior living M&A data & publishing firm
  • Private equity fund (raising third-party capital)
  • Charitable organizations (media, publishing, information services, grants, and fundraising)
  • Private trust and personal assets management
  • Investment advisor and listed company

The Corporate Counsel will report to the firm's Managing Director and General Counsel, and coordinate with executives in each department.

Specific Responsibilities:
  • Contract Drafting & Management
    • Draft, review, and negotiate a variety of legal documents such as NDAs, employment agreements, acquisition and investment documents, assignments, promissory notes, commercial leases, etc
    • Communicate with and build requirements from stakeholders throughout the organization
    • Support the organization's staff with respect to business and legal contract issues and queries
    • Establish, organize, and update legal templates for recurring transactions
    • Oversee the firm's contract and calendar tracking systems, signature processes, and legal systems
  • Legal Process & Management Support
    • Selecting, implementing, and managing legal software and systems
    • Creating and managing legal processes such as contract workflows and approvals
    • Vendor management (Thompson Reuters, CSC, etc)
    • Select, coordinate with, manage, and deploy outside counsel to a variety of specialized issues and tasks
    • Select, hire, and manage internal resources including legal personnel and x-departmental administrative resources
    • Help set goals for departmental performance and achievements
  • Compliance & Governance
    • Diligence of potential and current investment assets
    • Devising and implementing corporate structural changes in connection with outside counsel and GC
    • Maintaining corporate secretarial and filing functions (eg organization of and applications for company government filings, procuring Certificates of Good Standing, etc, corporate minutes, etc)
    • Preparing for and managing dissemination of board meetings and materials
    • Regulatory & compliance research
    • Monitoring fund compliance and interacting with investors
    • Drafting file memos regarding transactions and investments
    • Managing disputes and litigations

Required Experience & Qualifications:
  • Juris Doctorate from an accredited law school
  • Good standing in a State bar within the U.S.
  • 4+ years of corporate experience with at least 2 years of experience in-house (fund experience a plus)
  • Proven ability and competence to drive change without significant oversight
  • Ability to forge strong working relationships and maintain responsive, clear, and consistent communication with senior individuals and departments across the firm
  • Extremely, extremely organized with a high level of attention to detail
  • Experience with cloud applications, Microsoft Word, and Acrobat Pro
