Your Role:
An Outsourcing and Offshoring Consulting Company seeks a VP-Corporate Legal to lead our legal function and provide support on a wide range of corporate matters including client contract management and negotiation, banking and leasing contract negotiations, corporate compliance with banking regulations and privacy-related laws applicable to our business, managing and overseeing international legal resources, and providing guidance as needed on employment-related matters. The position reports to the CFO but interacts with our entire executive team as needed.

Job Description:
  • Legal advice: Advising on a variety of legal matters, such as employment law, mergers and acquisitions, and regulatory compliance
  • Contract management: Drafting, reviewing, and negotiating contracts
  • Legal research: Conducting in-depth legal research for various corporate matters
  • Legal compliance: Overseeing and advising on applicable regulatory compliance
  • Legal documentation: Reviewing and curating legal documentation to protect the company's interests
  • Legal guidance: Serve as trusted advisor for internal business clients across a range of cross-functional teams. Advise on a broad range of strategic legal and business matters, providing business-practical solutions
  • Drive departmental initiatives, including the development or redesign of legal support processes and templates to increase efficiencies and better align to the needs of the business
  • Advise on corporate governance matters, and board and corporate secretary responsibilities
  • Draft resolutions, consents, governing documents, certificates, and minutes
  • Draft and maintain governance-related policies and procedures
  • Maintain corporate calendar and oversee preparation of board and committee materials

Skills and Qualifications:
  • Juris Doctorate (JD) from ABA accredited university, membership in good standing of State Bar
  • 8+ years legal experience with an emphasis in corporate law
  • Experience in contract negotiation and administration
  • Experience with employment law
  • Exceptional organization and prioritization skills to effectively manage timelines and multiple projects
  • Strong transactional skills with attention to detail
  • Excellent interpersonal and communication skills
  • Ability to exercise sound judgment, commercially focused legal advice and appropriately consider risks to the Company
  • Ability to be highly collaborative and adaptive in a fast-paced, team-based, matrix environment
  • Fluency in Spanish a plus
